STATE OF NORTH CAROLINA MODIFICATION TO SUBLEASE <br />CABARRUSCOUNTY <br />This Modification To Sublease ( "Third Modification ") is made and entered into as of <br />, 2016 ( "Effective Date ") by and between Cabarrus County, a political <br />subdivision of the State of North Carolina, with its principal place of business at 65 Church <br />Street, SE, Concord, NC 28025 ( "Sublessor ") and Cardinal Innovations Healthcare Solutions, <br />f /k/a PBH, a managed care organization, with corporate offices at 4855 Milestone Avenue, <br />Kannapolis, NC 28081 ( "Subtenant ") (collectively, the "Parties" and each a "Party "). <br />WHEREAS, the Parties entered into a Sublease Agreement ( "Sublease ") dated as of July 1, 2012 <br />for the Premises located at 1305 South Cannon Boulevard, Kannapolis, North Carolina; and <br />WHEREAS, the Parties entered into a Modification to Sublease dated as of July 1, 2013 to <br />extend the original term of the Sublease to December 31, 2014 ( "First Modification "); and <br />WHEREAS, the Parties entered into a second Modification to Sublease dated as of January 1, <br />2015 to extend the term of the Sublease to June 30, 2016 ( "Second Modification ") (collectively, <br />the "Existing Agreement "); and <br />WHEREAS, pursuant to Sections Two (2) and Twenty -Eight (28) of the Existing Agreement, the <br />amendments contemplated by the Parties herein must be contained in an executed written <br />agreement; and <br />WHEREAS, the Parties hereto desire to amend the Existing Agreement on the terms and <br />conditions set forth herein. <br />NOW, THEREFORE, in consideration of the premises set forth above and other good and <br />valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the <br />Parties agree as follows: <br />1. Definitions Capitalized terms used and not defined in this Third Modification shall have <br />the respective meanings assigned to them in the Existing Agreement. <br />2. Amendments to the Existing Agreement As of the Effective Date set forth above, the <br />Existing Agreement is hereby amended and modified as follows: <br />Attachment number 1 \n <br />F -1 Page 60 <br />
