FIRST AMENDMENT TO RECYCLED MATERIALS AGREEMENT THIS FIRST AMENDMENT TO RECYCLED MATERIALS AGREEMENT is made and entered into this the 14th' day of November 2016, by and between Cabarrus County, North Carolina, a North Carolina municipal corporation (hereinafter referred to as the "County"), and Sonoco Recycling, LLC a North Carolina limited liability company (hereinafter referred to as "Sonoco"). WHEREAS, the County and Sonoco Recycling, Inc. entered into an agreement dated January, 2013 for Sonoco Recycling, Inc. to provide recyclables collection for the County (the "Agreement"); and WHEREAS, Sonoco Recycling, LLC ("Sonoco") the successor by merger of Sonoco Recycling, Inc.; and WHEREAS, the parties hereto desire to amend the Agreement as provided herein. NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties hereto agree that: I. Amendments. Section B.1 of the Agreement is amended to read in its entirety as follows: Delivery. County shall deliver(or cause to be delivered) to Sonoco at the Facility identified below all of the accumulated Recovered Materials collected by County's solid waste collection contractor. Title to all Recovered Materials passes to Sonoco upon delivery. "Facility" shall mean Re: Community's Charlotte facility, or other facility agreed to by the parties. If the Facility is unable to accept delivery of, or refuses to accept delivery of, Recovered Materials for reasons other than those set forth in Section B.3, then Sonoco shall promptly secure an alternative site acceptable to the County for delivery of the Recovered Materials. Section B.5 of the Agreement is amended to read in its entirety as follows: Single Stream Recycling Delivered to Sonoco at the Facility 1. "The Threshold Price" shall mean $70.00/Ton. 2.
