CONFIDENTIAL DRAFT CONFIDENTIAL DRAFT <br />EXHIBIT B <br />COMPENSATION <br />In consideration of the services and materials provided by CHS to Employer under this <br />Agreement, Employer shall pay the following: <br />(a) Professional Fee Employer shall pay an annual professional services fee equal to <br />$250,187.00 (the " Professional Fee "), to be paid in equal quarterly installments commencing on the <br />Opening Date (payment for a period shorter than a calendar quarter will be prorated) and continuing on <br />the first (1S) day of each calendar quarter thereafter. From and after the one (1) year anniversary of the <br />Opening Date, CHS may adjust the Professional Fee annually in advance in accordance with fair market <br />value rates. <br />Management Fee hi consideration of the following management services provided by CHS to <br />Employer throughout the Term, Employer shall pay CHS an annual fee in the amount of $75,056.00 (the <br />" Management Fee "), to be paid in equal quarterly installments commencing on the Opening Date <br />(payment for a period shorter than a calendar quarter will be prorated) and continuing on the first (1S) day <br />of each calendar quarter thereafter. From and after the one (1) year anniversary of the Opening Date, <br />CHS may adjust the Management Fee annually in advance in accordance with fair market value rates: <br />• Practice Manager, Corporate support, Medical Director oversight of clinic <br />• Initial Marketing and Communication Planning and materials <br />• Implementation expenses such as license fees, vendor management <br />• Bio- hazard waste removal and shredding contract <br />• Processing monthly, quarterly and yearly utilization and quality reporting <br />• Managing patient satisfaction survey <br />• 24 hour scheduling <br />• Initial Upfit Costs Employer shall pay CHS the following fees for CHS's initial start-up <br />costs related to upfitting the Clinic Area (the " Initial Upfit Costs "): <br />• IS Materials (including equipment and software license fees) - $12,500.00 <br />• Initial Medical Supplies and Laboratory Tests - $2,681.00 <br />• Exam Room Materials - $9,785.00 <br />• <br />Recurring Costs Employer shall pay CHS for all supplies, diagnostic tests and <br />vaccinations, prescriptions, CLIA certification fee and other maintenance /operational costs necessary for <br />the operation of the clinic described in this Agreement (the " Recurring Costs "). CHS will invoice <br />Employer for payment of such supplies, diagnostic tests, vaccinations and maintenance /operational costs <br />on a quarterly basis. Routine diagnostic test and vaccination prices are listed in Schedule B -I attached <br />hereto and incorporated herein by reference. <br />• Wellness Services hi consideration of the Wellness Services provided under this <br />Agreement, Employer will pay CHS the following fees: <br />• Biometric Screening /Health Risk Appraisals - $45.00 Per Screening <br />Beginning on the first anniversary of the Opening Date and continuing annually thereafter, CHS <br />may adjust the foregoing fees in advance in accordance with fair market value rates. <br />2015 -09845 On -Site Agt at Employer — Cabarrus County v.5 <br />10 <br />F -3 <br />Page 239 <br />
