SUBLEASE AGREEMENT <br />Re: Office Space, 1305 S. Cannon Blvd. <br />Kannapolis, Cabarrus County, NC <br />This Sublease Agreement (tile "Sublease ") is made as of July 1, 2012, by and between CABARRUS <br />COUNTY, a political subdivision of the state of North Carolina ( "Sublessor "), with its principle <br />place of business at 65 Church Street, SE, Concord, NC 28025, and Piedmont Area Mental Health, <br />Developmental Disabilities, and Substance Abuse Authority organized and existing pursuant to <br />NCGS 122C dba PBH, it local political subdivision of the State of North Carolina, <br />( "Subtenant "), whose primary address is 4855 Milestone Avenue, Kannapolis, NC 28081. <br />1. Relationship of Parties Sublessor leases from Kannapolis Land, Inc. ( "Prime Lessor ") certain <br />property located at 1305 South Cannon Boulevard, Kannapolis, North Carolina, a portion of which the <br />Subtenant wishes to sublease from Sublessor in accordance with the terms and conditions of this <br />Sublease, <br />2. Description of Leased Premises. Sublessor hereby subleases to Subtenant, "as is ", approximately <br />7,060 square feet including a 16 -bed crisis /detox unit and allocated shared space (the "Premises "). <br />The Premises are more clearly set forth in Exhibit A. attached hereto and incorporated herein. The <br />Premises are within the building (the "Building ") on the real property as more fully illustrated and the <br />legal description of which is included in Exhibit A. (The Premises, the Building and the real property <br />on which they are located may from time to time be collectively or singularly referred to herein as the <br />"Land "), The Premises contain the fixtures, improvements and other real or personal property now <br />installed on the Premises plus any future pernutted modifications, alterations and improvements <br />thereto. <br />2. Lease Term The term of this Sublease shall begin on July I, 2012 and shall continue on a "month - <br />to- month" basis up to June 30, 20I3, unless sooner terminated pursuant to the terms hereof. In the <br />event of holding over by Subtenant without Sublessor's written consent, Subtenant shall pay Rent <br />equal to twice the applicable Rent and Additional Rent plus other sums due from time to time <br />hereunder. Possession by Subtenant after the expiration of this Sublease shall not be construed to <br />extend the last terns hereunder. <br />3. Basic Rent Sublessor agrees to provide approximately 7,060 square feet as an "In Kind" <br />contribution. The Fair Market Value of this space on an annual basis is $47,816. <br />4, Subtenant Access To Building/Premises. Except in the case of emergencies not within <br />Sublessor's control, access to the Building and the Premises shall be provided to appropriate <br />representatives of Subtenant at all times and at no additional expense, twenty four (24) hours a day, <br />seven (7) days a week, three hundred sixty five (365) days a year. Access to the Building and <br />Premises on holidays and at times other than normal business hours shall be provided by key, card <br />access or other means acceptable to Sublessor and Subtenant. Sublessor shall provide Subtenant with <br />a sufficient number of keys, access cards or other devices needed to allow Subtenant and Subtenant's <br />employees such access.
