d Reimbursements Reimbursements for expenditures under this Contract will not occur subsequent to June 30, 2014, unless this Contract is otherwise renewed as described below in Paragraph 5. e. Reversion Any unexpended funds held by the County upon termination or completion of this Contract shall be reported and reverted to the CLC with the final report of expenditures, along with any property purchased by the CLC's funds (valued in excess of $500). 5. Term This Contract shall commence on ulL,y 1, 2014 and continue until Tune 30, 2015 This Contract shall renew annually unless either party gives the other party written notice of termination at least ninety (90) days prior to the expiration of the existing term. E ither party may terminate this Contract, with or without cause or j ustif ic atio n, with at least ninety (9 0) days prior written notice to the other party. All unspent funds and property purchased by the CLC's funds (valued in excess of $500) will be returned to CLC by the Library and County. 6. Notice All notices and other communications required or permitted by this Contract shall be in writing and shall be given either by personal delivery, fax, or certified United States mail, return receipt requested addressed as follows: To the County: Sherri Barnhardt, CLGPO, CPPB Contract Administrator Cabarrus County Finance Dept. Indemnification To the maximum extent allowed by law, each party shall defend indemnify, and save harmless the other party, its agents, officers, and employees, from and against all charges that arise in any manner front' in connection with, or out of this Contract as a result of the acts or omissions of the parties or subcontractors or anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, except for damage or injury caused solely bythe negligence of a party, its agents, officers or employees. This section shall remain in force despite termination of this Contract (whether by expiration of the term or otherwise) and termination of the Services of the Contract. 8. Nliscellaneous a. Choice of Law or Forum. This Contract shall be deemed made in Cabarrus County, North Carolina. This Contract shall be governed by and construed in accordance with the laws of North Carolina. The exclusive forum and venue for all actions arising out of this Contact shall be the appropriate division of the North Carolina General Court of Justice in Cabarrus County. Such actions shall neither be commenced in nor removed to federal court. b. Waiver No action or failure to act by the County shall constitute a waiver of any of its rights or remedies that arise out of this Contract, nor shall such action or failure to act constitute approval of or acquiescence in a breach of this Contract, except as may be specifically agreed in writing. C. Performance of Government Functions Nothing contained in this Contract shall be deemed or construed so as to in any way estop, limit, or impair the County from exercising or performing any regulatory, policing, legislative, governmental, or other powers of functions. 3 Attachment number 1 F -6 Page 150
