7. LIABILITY INSURANCE The County agrees to carry at its own expense <br />throughout the term of this Lease insurance covering the Leased Premises and the <br />County's use of it and the Facility. This insurance shall consist of a policy of commercial <br />general liability insurance insuring against liability for bodily injury, property damage <br />(including loss of use of property) and personal injury arising out of the operation, use or <br />occupancy of the Leased Premises. The amount of such insurance shall be One Million <br />Dollars ($1,000,000) per occurrence, and the City shall be named as an additional insured <br />on certificates of insurance. <br />8. USE OF PARKING AREAS, WALKWAYS AND COMMON AREAS During <br />the Lease Term the County and its officers, employees, agents, customers, business <br />visitors, business guests, licensees and invitees shall be entitled to the nonexclusive use of <br />the parking areas, driveways and walkways that are part of the Facility, and such use shall <br />be in common with the City and the officers, employees, agents, customers, business <br />visitors, business guests, licensees and invitees of the City. Such use by the County shall <br />be subject to such rules and regulations as the City may reasonably from time to time <br />adopt governing the same, provided the County's use of the Facility is not thereby <br />unreasonably impaired. <br />9. MAINTENANCE AND REPAIR The City shall keep the exterior supporting <br />walls, foundations, roof and sprinkler system of the Facility, including the Leased <br />Premises, in good repair. The City shall also repair, maintain, alter or perform any other <br />repairs to the Facility including the Leased Premises, including any ventilating, electrical, <br />air conditioning or other mechanical installations, plumbing, sanitary sewer, electrical and <br />water lines within the Facility. The City retains its right to access the Leased Premises for <br />the listed purposes and inspections related thereto. <br />Except for the City's maintenance responsibilities as provided, the County at its expense <br />shall make such repairs and replacement and take such other steps as may be reasonably <br />necessary to keep and maintain the Leased Premises in good repair and condition, <br />reasonable wear and tear excepted. <br />10. ALTERATIONS AND IMPROVEMENTS BY THE COUNTY The County <br />shall have the right at its sole cost during the Lease Term to make such alterations and <br />improvements on the Leased Premises with the written permission of the City as may be <br />proper and necessary for the full beneficial use of the Leased Premises. <br />11. INDEMNIFICATION The County agrees to indemnify and defend the City and <br />to save it harmless against and from any and all claims by or on behalf of any person, firm <br />or corporation arising by reason of injury to person or property occurring at the Facility <br />occasioned in whole or in part by any act or omission on the part of the County or any <br />employee or agent or the County, or by reason of any unlawful use of the Leased Premises <br />or Facility or by reason of any breach, violation or non - performance of any provision of <br />this Lease on the part of the County to be observed or performed, and also by reason of <br />any matter or thing growing out of the occupancy or use of the Facility by County or <br />anyone holding under County. The City agrees to indemnify and defend the County and <br />to save it harmless against and from any and all claims by or on behalf of any person, firm <br />or corporation arising by reason of injury to person or property occurring at the Facility <br />3 <br />Attachment number 1 <br />F -6 Page 143 <br />
