1.10 TECHNOLOGY REFRESH OVERVIEW <br />Motorola Solutions realizes that technology is always advancing and Cabarrus County would like to <br />stay as current as possible with the latest subscriber technology available to them. As part of this of <br />this services agreement Cabarrus will have the option to refresh the subscriber technology after every <br />six years for the life of the contract. This will allow Cabarrus to refresh their subscriber base with the <br />latest technology offered by Motorola Solutions at the end of year six and at the end of year twelve of <br />the contract. <br />In the event that refresh equipment is not available at the time when Cabarrus has the option to <br />refresh equipment, Cabarrus will have the option at any time after the six year term to refresh the <br />technology based on Cabarrus' needs. Any delay in the technology refresh will not prevent Cabarrus <br />from taking the option of an additional technology refresh after the 12th year of the contract. If <br />Cabarrus elects not to refresh its equipment when the refresh option is available to it, the Annual <br />Recurring Charge (ARC) shall remain unchanged. At the time Cabarrus does elect to exercise its <br />refresh option, the ARC shall adjust as described in § 1.1 "Assumptions" above, except that the ARC <br />shall increase by the ARC multiplier calculated based upon the number of years since the Effective <br />Date of the Device Management Agreement. For example: <br />1.10.1 Motorola Responsibilities: <br />Motorola will provide Cabarrus equipment options and delivery time frames of new subscribers. <br />• The technology refresh option will provide subscribers <br />a) the same quantity in a one - for -one replacement <br />b) of like features and functionality <br />c) of like pricing based on the then - current North Carolina state contract with Motorola <br />Solutions (NC 725G) and any NC 725G discounts as of the Effective Date of the Device <br />Management Agreement: <br />d) of like services as outlined in the Subscriber as a Service agreement <br />e) of like model and tiering <br />f) within a delivery not less than six years from the delivery of the last subscriber <br />units <br />• Cabarrus may, of their own choosing, migrate to a higher tier radio and/or add features and <br />functionality during the technology refresh provided the additional costs are paid for by Cabarrus. <br />Pricing at that time shall be per the then - current North Carolina state contract with Motorola <br />Solutions (NC 725G) and any NC 725G discounts as of the time Cabarrus purchases the higher <br />tier radio and /or additional features and functionality. <br />1.10.2 Customer Responsibilities: <br />Choose subscriber technology to be refreshed <br />Choose subscriber technology that will be implemented <br />Work with Motorola per the SOW to implement a technology refresh and amend the statement of <br />work to reflect the proper scope of services. <br />Use or disclosure of this proposal is subject <br />to the restrictions on the cover page. <br />1 -10 Statement of Work <br />Cabarrus County Sheriff's Department <br />Subscribers As A Service <br />Attachment numbey� <br />Motorola Solutions Confidential Restricted 6 <br />G -2 Page 353 <br />
