11. All additional software Accela software licenses must be ordered and installed by the <br />County I.T.S staff and will be paid by the county and reimbursed by the City. <br />12. County will implement changes to the Accela production configuration via the ITS <br />change management processes and policies. <br />Section 4- City Responsibility <br />The City will be responsible for the following: <br />1. Compliance with Accela license agreement <br />2. General administration of City named users <br />3. Providing and configuring user hardware per Accela specifications <br />4. Providing City user training and daily support <br />5. Annual license maintenance fees <br />6. Creation of end -user reports not currently available <br />7. Creation and maintenance of interfaces to other City systems <br />Section 5- Termination of Agreement <br />If the City decides to no longer use the County as the host for the Accela software, the City <br />Manager or his designee will notify the County of the City's intentions by December 31 of each <br />year to terminate the hosting solution. Migration from the City to the County will be completed <br />by the following July 1. At that time, the licenses will become property of the City. <br />As part of this termination, the City will need to do the following with Accela: <br />1. Purchase Accela Server licenses, <br />2. Pay Accela a one -time fee to separate out the City databases, <br />3. Contract with Accela to move the environment to the City system. <br />The costs incurred by Accela for this migration will be the responsibility of the City. The City <br />will be responsible for providing the required hardware and operating system software. Accela <br />will facilitate the transfer of the licenses in Table 1 from the County to the City with costs <br />associated with the transfer being the responsibility of the City. The County will provide the data <br />via SQL Database backup file(s) to provide the migration to the City system at no cost to the <br />City or County. <br />If the City no longer desires to use the Accela Automation software, the County will provide the <br />required database information in an agreed to Microsoft SQL format within 90 days of the <br />request. All Accela licenses will be terminated as of June 30 following the December 31 <br />notification. <br />Section 6. Indemnification. <br />Each party agrees to indemnify and hold harmless the other party from any damage, claim, loss <br />or expense (including attorney fees) arising from the acts or omissions of the indemnifying party <br />relating to the duties or obligations of each party required by this Agreement to the extent <br />permitted by law. <br />Section 7.
