Exhibit F Turner CABARRUS COUNTY SHERIFF'S DEPARTMENT AMENDMENT # 5 TO THE GMP — 6 T & 7TH FLOOR ALTERATIONS CLARIFICATIONS & ASSUMPTIONS GENERAL Allowances: An allowance of $ 50,000 is included for an Owner Contingency. This allowance is separate from the 4% Contractor's Contingency. Alternates: • Owner Preferred Vendor Alternates 1 — 17 (Published in Addendum #2) All are included in the total cost of Amendment #5 to the GMP. Clarifications & Assumptions: 1) These Clarifications & Assumptions take precedence over the contract agreement and contract documents and work in conjunction with the Clarifications & Assumptions as established with Amendment # 1. 2) Amendment No. 5 incorporates the 6th and 7th Floor Alterations into the Scope of the Work of the Contract dated October 21, 2008. The terms and conditions of the Contract apply to the 6th and 7th Floor Alterations; provided, however, the 6th and 7th Floor Alterations are a distinct and separate phase of the Work of the Contract. Contract provisions pertaining to the time for completion, acceptance of the Work, occupancy, the cost of the Work, insurances, the time for making payments, guaranties, warranties, the time for bringing actions to enforce the provisions of the Contract and any other provisions sensitive to or dependent on the date of Substantial Completion or the date of Final Completion will be applied individually to the separate phases of the Work as if the separate phases of the Work were under separate contracts. The performance of one phase of the Work will be evaluated without regard to the performance of another phase. This Amendment to the GMP was based on the project construction schedule included within this report. 3) Turner Construction will endeavor to meet the overall Contract cap amount of 15.52% for fee & general conditions per Article 9 — Section C of the Contract. 4) This proposal is valid for 30 days. 5) The Contractor's Contingency is for Turner's use and is intended to cover cost exposures resulting from unanticipated coordination problems or contractor budget overruns within the GMP. It is not intended to cover additional costs resulting from increases in project scope or program, the substitution of more costly materials, or the overruns in allowances. The Contractor's Contingency is not intended to cover so- called 'force - majeure' events or unknown conditions. The Contractor's Contingency will be for the use of Turner, subject to the construction agreement.
