1. At the expiration of the contract terms as herein defined: or <br />2. Upon mutual consent of both parties or thirty (30) days after one of the <br />contracting parties gives notice of the termination: or <br />3. Upon action by legislative, regulatory or judicial authority pre - empting, <br />voiding or preventing implementation or continuance of this contract: or <br />4. By the County in the event that funds are no longer available for the <br />purchase of services. <br />5. Notification of termination of contract by either side shall be given thirty <br />(30) days prior to said termination. <br />SECTION IX: INDEPENDENT CONTRACTORS <br />The officers, employees, subcontractors, agents and all personnel of the Provider <br />are not officers, employees, subcontractors or agents of the County. The <br />Provider is an independent contractor of the County. The Provider further agrees <br />that it and it's officers, employees, subcontractors and agents shall obey al state <br />and federal statues, rules and regulations are subject to all funding and <br />administration conditions or hereafter applicable to the Criminal Justice <br />Partnership Program. <br />SECTION X: CONTRACT ADMINISTRATOR <br />Cabarrus County shall serve as administrator of this contract. The contract <br />administrator shall be responsible for monitoring the Provider's performance; <br />reviewing all invoices submitted by the Provider for treatment services delivered <br />to clients prior to the submission to the County; reviewing al referrals made by <br />the Provider to outside treatment services, and reviewing all outcome data <br />provided by the Provider. Copies of all above data will also be forwarded to <br />Catherine Combs, Cabarrus County Division of Community Corrections. <br />SECTION XI: CONFIDENTIALITY <br />The Provider shall disclose to only the County and /or Criminal Justice <br />Partnership Program, the Contract Administrator, and the NC State Criminal <br />Justice Partnership Program any reproduction, description or information <br />concerning the work produced as a result of this project or task unless written <br />permission is otherwise granted by the County. Further, in connection with the <br />client's records and all information contained therein, including client identifying <br />information, the Provider agrees as follows: <br />1. That it acknowledges that in receiving, storing, processing or otherwise <br />using or dealing with any such information, the Provider and it's <br />employees are fully bound by the provisions of North Carolina General <br />Statues 122 -8.1 as amended and all other Federal and State Laws and <br />Regulations that govern and guarantee the treatment rights and <br />Attachment number 1 <br />F -4 Page 71 <br />
