end of each quarter, the Cabarrus Board Finance Department will prepare a report showing spending by <br />the Department, which report will be sent to the County Manager and to the Superintendents. At the end <br />of each fiscal year, unspent funds in either Board's account, whether in Building and Facilities Services or <br />Grounds and Maintenance Services, shall be reserved for subsequent years' budgets and shall only be <br />spent for each respective purpose, unless otherwise agreed by the Parties. <br />11. DISPUTES In the event any disputes arise in connection with this Agreement, the <br />Parties shall make an earnest, good faith attempt to resolve their differences through mediation prior to <br />any legal action. <br />12. TERMINATION This Agreement may be terminated without cause by any Party by <br />providing written notice of termination as of June 30 of any year, provided such written notice is <br />delivered to the remaining Parties at least twelve months in advance of that date. <br />13. S `âś“VERABILITY If any portion of this Agreement is determined to be invalid, illegal <br />or unenforceable, such determination shall not impair the enforceability of the remaining terms and <br />provisions, provided the purposes of this Agreement may be achieved through the enforcement of such <br />remaining terms and provisions. <br />14. GOVERNING LAW This Agreement shall be governed by the laws of North Carolina. <br />15. MISCELLANEOUS/ENTIRE AGREEMENT/PARAGRAPH HEADINGS This <br />Agreement, together with the Amendment to Agreement for Maintenance and Repairs for Public School <br />Parks in Cabarrus County, which is attached, sets forth the entire understanding among the Parties and <br />supersedes all previous agreements, arrangements and understandings among the Parties pertaining to this <br />subject matter, whether written or oral, and may not be amended except in writing signed by all Parties. <br />This Agreement is intended to be binding upon and for the benefit of the Parties only and no term or <br />condition is intended to benefit any other person, nor may any term or condition be enforced by any other <br />person. Paragraph headings are for convenience only and shall not be deemed a controlling part of this <br />Agreement. <br />16.
