SUBLEASE AGREEMENT <br />Re: Office Space, 1305 S. Cannon Blvd. <br />Kannapolis, Cabarrus County, NC <br />This Sublease Agreement (the "Sublease") is made as of July 1, 2010, by and between CABARRUS <br />COUNTY, a political subdivision of the state of North Carolina ("Sublessor"), with its principle place <br />of business at 65 Church Street, SE, Concord, NC 28025, and Piedmont Area Mental Health, <br />Developmental Disabilities, and Substance Abuse Authority organized and existing pursuant to <br />NCGS 122C dba Piedmont Behavioral Healthcare, a local political subdivision of the State of <br />North Carolina, ("Subtenant"), whose primary address is 245 LePhillip Court, NE, Concord, NC <br />28025. <br />1. Relationship of Parties. Sublessor leases from Kannapolis Land, Inc. ("Prime Lessor") certain <br />property located at 1305 South Cannon Boulevard, Kannapolis, North Carolina, a portion of which the <br />Subtenant wishes to sublease from Sublessor in accordance with the terms and conditions of this <br />Sublease. <br />2. Description of Leased Premises. Sublessor hereby subleases to Subtenant, "as is", approximately <br />7,060 square feet including a 16-bed crisis/detox unit and allocated shared space (the "Premises"). The <br />Premises are more clearly set forth in Exhibit A, attached hereto and incorporated herein. The Premises <br />are within the building (the "Building") on the real property as more fully illustrated and the legal <br />description of which is included in Exhibit A. (The Premises, the Building and the real property on <br />which they are located may from time to time be collectively or singularly referred to herein as the <br />"Land"). The Premises contain the fixtures, improvements and other real or personal property now <br />installed on the Premises plus any future permitted modifications, alterations and improvements thereto. <br />2. Lease Term. The term of this Sublease shall begin on July 1, 2010 and shall continue through June <br />30, 2012, unless sooner terminated pursuant to the terms hereof. In the event of holding over by <br />Subtenant without Sublessor's written consent, Subtenant shall pay Rent equal to twice the applicable <br />Rent and Additional Rent plus other sums due from time to time hereunder. Possession by Subtenant <br />after the expiration of this Sublease shall not be construed to extend the last term hereunder. <br />3. Basic Rent. Sublessor agrees to provide approximately 7,060 square feet as an "In Kind" <br />contribution. The Fair Market Value of this space on an annual basis is $41,936. <br />4. Subtenant Access To Buildin~/Premises. Except in the case of emergencies not within Sublessor's <br />control, access to the Building and the Premises shall be provided to appropriate representatives of <br />Subtenant at all times and at no additional expense, twenty four (24) hours a day, seven (7) days a week, <br />three hundred sixty five (365) days a year. Access to the Building and Premises on holidays and at <br />times other than normal business hours shall be provided by key, card access or other means acceptable <br />to Sublessor and Subtenant. Sublessor shall provide Subtenant with a sufficient number of keys, access <br />cards or other devices needed to allow Subtenant and Subtenant's employees such access. In the event <br />Sublessor changes the means of access after the commencement date of this Sublease, Sublessor shall <br />provide Subtenant with replacement keys, access cards or other devices as required at no additional cost <br />to Subtenant.
