will furnish or cause to be furnished to the municipalities and <br />county any such reports, data, studies, plans, specifications, <br />documents, computer files, and other information created or <br />collected by the EDC upon request. The documents so provided <br />will remain the property of the municipalities and county. EDC <br />agrees that the municipalities and county will not assume any <br />responsibility for a third party's use of the documents that are <br />produced. <br />3. The managers of Cabarrus County, Concord, Kannapolis and <br />Harrisburg will be members of the EDC Board of Directors during <br />the term of this contract. <br />4. The EDC shall submit separate invoices to the municipalities for each <br />quarterly payment. Invoices to the County may be submitted on a <br />monthly basis. <br />5. The EDC shall adhere to the Public Records Law and Open Meetings <br />Law of the State of North Carolina. <br />6. The EDC shall have an audit of its financial statements performed by <br />a certified public accountant, prepared on a modified cash basis, <br />upon completion of the fiscal year ending June 30, 2011. <br />It. OTHER TERMS and CONDITIONS of this AGREEMENT <br />A. Term of Agreement. The term of this Agreement shall be for the period from July <br />1, 2010 through October 31, 2011. <br />B. Termination of Agreement. Either party may terminate this Agreement by giving <br />the other party a ninety -day (90 day) written notice of its desire to terminate <br />this Agreement. In the event of such terminations, the EDC shall provide the <br />County with all pertinent information regarding the current status of all efforts <br />in any stage of progress at that time. <br />C. Notices. All notices and other communications required or permitted by this <br />contract shall be in writing and shall be given either by personal delivery, fax, <br />or certified United States mail, return receipt requested, addressed as follows. <br />1.
