and Provider shall meet and review the County's concerns regarding the Physician or NP. <br />In the event County and Provider are unable to mutually agree upon the resolution of <br />such matters within thirty (30) days following written notice, County may terminate this <br />Agreement. <br />10. County shall make available to Provider right of access to and use of <br />premises provided by County for purposes of carrying out this Agreement. County shall <br />have and maintain reasonable and appropriate facilities, equipment and supplies for the <br />use of Physician and NP for the provision of Services hereunder. <br />11. County shall work with Provider to establish a weekly schedule for the <br />operation of the Center based on a 40-hour work week and as more specifically set forth <br />in Exhibit C. Additional County and Provider responsibilities pursuant to this Agreement <br />are contained in Exhibit D. <br />12. The term of this Agreement shall be for a period of months <br />beginning on the Effective Date. <br />13. If either party shall default in the performance of any of its obligations <br />hereunder, and such default continues and is not corrected within thirty (30) days after <br />receipt of written notice of such default from the non-defaulting party, then in such event <br />the non-defaulting party may, at its option, terminate this Agreement by delivery of <br />written notice of its intention to terminate seven (7) days after the expiration of the thirty <br />(30) day period. <br />14. Notwithstanding any other provision of this Agreement, either party may <br />terminate this Agreement upon ninety (90) days written notice with or without cause to <br />the other party. <br />15. Any outstanding invoices as the date of termination will be due and <br />payable within thirty (30) days. Termination of this Agreement shall not release or <br />discharge either party from any obligation, debt or liability which shall have previously <br />accrued and remains to be performed upon the date of termination. <br />16. Provider shall submit invoices to County on a monthly basis and County <br />shall pay such invoice within thirty (30) days of receipt of such invoice. <br />17. Provider shall contract with a bonded and insured cleaning service for the <br />Premises and shall submit invoice to County for payment. <br />18. Provider will look solely to County for any compensation for Services <br />provided pursuant to this Agreement. <br />19. County shall maintain general liability insurance in the amount of not less <br />than $1 million per incident/$3 million annual aggregate covering the County, its <br />employees and agents who perform services in connection with the Center.
