amounts as required by the State medical licensing authority in the State of North Carolina. 3. Provider shall coordinate and provide scheduling services for the Center on behalf of County and shall ensure that a Physician or NP is available to provide medical services during the hours and days mutually established and agreed upon by County and Provider, excluding the holidays observed by Provider, as set forth in Exhibit A. In case of inclement weather, employees will be notified of delay or closure on the local television channels. 4. The Physician and NP will assist in Worker's Comp light duty placement evaluation services as mutually agreed by Provider and County. 5. Provider shall provide services to County as described in Exhibit B. Provider and County will mutually determine the frequency and content of reports to be provided to County. The parties acknowledge and agree that the purpose of such reports is to assist County in managing health risk by reducing health care expenditures and decreasing lost work time due to illness-related absences. The. parties further acknowledge that Provider may not provide reports or other information to County which includes employee health information other than on a de-identified basis such that no employee can be identified by the nature or form of the information furnished by Provider to County. 6. Provider and County each agree to appoint a representative to meet as necessary to review this relationship, and to implement proposals to ensure that the covenants and objectives of this Agreement are mutually respected and executed. 7. Provider and County shall work together toward the selection of the Physician and NP candidates. Further description of services ("Services") to be provided, including fee structure for services and hours of services is set forth in Exhibit C. 8. It is expressly understood and agreed that in the performance of Services under this Agreement, the Physician and NP shall at all times act as independent services providers with respect to the County, practicing the profession of medicine, and not as employees or agents of the County. The County shall have no right whatsoever to exercise control over the Provider, the Physician or NP, or the diagnosis or treatment of illness or injury rendered to patients by the Physician or NP, or as to the professional methods and means by which the Physician and NP perform their work. 9. In the event County deems the performance of Physician or NP to be disruptive to County's place of business or detrimental to the health or safety of County's Clients, County may request that such Physician or NP be removed from the schedule of the Center. Upon receipt of such notice, Provider shall notify Physician or NP of County's request and the Physician or NP shall be treated in accordance with Provider's policies and procedures.
