amounts as required by the State medical licensing authority in the State of North <br />Carolina. <br />3. Provider shall coordinate and provide scheduling services for the Center <br />on behalf of County and shall ensure that a Physician or NP is available to provide <br />medical services during the hours and days mutually established and agreed upon by <br />County and Provider, excluding the holidays observed by Provider, as set forth in Exhibit <br />A. In case of inclement weather, employees will be notified of delay or closure on the <br />local television channels. <br />4. The Physician and NP will assist in Worker's Comp light duty placement <br />evaluation services as mutually agreed by Provider and County. <br />5. Provider shall provide services to County as described in Exhibit B. <br />Provider and County will mutually determine the frequency and content of reports to be <br />provided to County. The parties acknowledge and agree that the purpose of such reports <br />is to assist County in managing health risk by reducing health care expenditures and <br />decreasing lost work time due to illness-related absences. The. parties further <br />acknowledge that Provider may not provide reports or other information to County which <br />includes employee health information other than on a de-identified basis such that no <br />employee can be identified by the nature or form of the information furnished by <br />Provider to County. <br />6. Provider and County each agree to appoint a representative to meet as <br />necessary to review this relationship, and to implement proposals to ensure that the <br />covenants and objectives of this Agreement are mutually respected and executed. <br />7. Provider and County shall work together toward the selection of the <br />Physician and NP candidates. Further description of services ("Services") to be <br />provided, including fee structure for services and hours of services is set forth in Exhibit <br />C. <br />8. It is expressly understood and agreed that in the performance of Services <br />under this Agreement, the Physician and NP shall at all times act as independent services <br />providers with respect to the County, practicing the profession of medicine, and not as <br />employees or agents of the County. The County shall have no right whatsoever to <br />exercise control over the Provider, the Physician or NP, or the diagnosis or treatment of <br />illness or injury rendered to patients by the Physician or NP, or as to the professional <br />methods and means by which the Physician and NP perform their work. <br />9. In the event County deems the performance of Physician or NP to be <br />disruptive to County's place of business or detrimental to the health or safety of County's <br />Clients, County may request that such Physician or NP be removed from the schedule of <br />the Center. Upon receipt of such notice, Provider shall notify Physician or NP of <br />County's request and the Physician or NP shall be treated in accordance with Provider's <br />policies and procedures.
