STATE OF NORTH CAROLINA <br />COUNTY OF CABARRUS <br />HEALTH AND <br />WELLNESS CLINIC <br />AGREEMENT <br />This HEALTH AND WELLNESS CLINIC AGREEMENT ("Agreement") is made and <br />entered into this the 1st day of June, 2009, ("Effective Date") by and between <br />CABARRUS COUNTY, a political subdivision of the State of North Carolina, <br />("COUNTY") and THE CHARLOTTE-MECKLENBURG HOSPITAL AUTHORITY <br />DB/A CAROLINAS MEDICAL CENTER -NORTHEAST ("PROVIDER"). <br />RECITALS <br />1. The County has established an Employee Health and Wellness Center <br />operated by Provider for the benefit of the County's employees, eligible retirees and <br />employee dependents ("Clients") enrolled in the Cabarrus County Health Plan. <br />2. The County desires to reduce the costs of health claims and improve the <br />overall health status of its employees. <br />3. The Provider has demonstrated the ability to effectively operate the clinic <br />by providing the services of a part-time Physician ("Physician") and Nurse Practitioner <br />("NP") on the premises of County and the provision of other services that may enable <br />County to reduce health care expenditures and decrease lost work time due to illness- <br />related absences. <br />4. The County desires to extend the prior Agreement with Provider to <br />continue to operate the Wellness Center on County's premises, and for Provider to <br />provide other services as set. forth in this Agreement. <br />In consideration of the Recitals stated above and the Terms contained below, the <br />parties agree as follows. <br />TERMS <br />1. Provider agrees to provide to County those specified management, <br />recruiting and financial services as set forth in this Agreement and such related services <br />necessary and appropriate in order for County to obtain the benefits of the program <br />established under this Agreement. <br />2. Provider agrees to provide a licensed and board certified Physician, on a <br />part-time basis, and a licensed and board certified Nurse Practitioner employed by <br />Provider to render professional services consistent with reasonable and appropriate <br />standards of community based primary care at the Employee Health and Wellness Center <br />("Center") to be operated on the County's premises. Provider will comply with all <br />applicable laws in its provision of services at the Center, including the provision of <br />medical and other services at the Center, and will carry malpractice insurance in such <br />F-8 <br />
