satisfactory to the County in a timely manner and at no additional cost to the <br />County. The day-to-day supervision and control of the Contractor's employees <br />and subcontractors is the sole responsibility of the Contractor. <br />ethics in Public Contraetin~: The County shall incorporate by reference but <br />shall not be limited to the provisions of law contained in the North Carolina <br />General Statutes. The bidder certifies that it's bid was made without collusion or <br />fraud; that it has snot offered or received any kickbacks or inducements from any <br />other bidder, supplier, manufacturer, or subcontractor in connection with the <br />bid; and that it has not conferred on any publzc employee having official <br />responsibility fax this procurement traztsaction any payment, loan, subscription, <br />advance, deposit of money, services or anything of more than nominal value. <br />failure to Deliver: In the event of failure of the Contractor to deliver <br />services in accordance with the contract terms and conditions, the County, after <br />due oral or written notice, may procure the services from other sources and hold <br />the Contractor responsible for any resulting additional purchase and <br />administrative costs. This remedy shall be in addition to any other remedies that <br />the County may have. <br />Iznyxtigration Reform and Control Act of 1.986: The Contractor certifies <br />that it does not and wil[ not during the performance of this contract employ <br />illegal alien workers or otherwise violate the provisions of the Federal <br />Immigration Reform and Control Act of 1986. <br />Indemnification: The Contractor covenants to save, defend, hold harmless <br />and indemnify the County and all of its officers, departments, agencies, agents <br />and employees from and against all claims, loss, damage, injury, fines, penalties <br />and cost -including court costs and attorney's fees, charges, Iiability and <br />exposure, however caused --resulting from, arising out of, or in any way <br />connected with the Contractor`s negligent performance or non-performance of <br />the terms of the contract. <br />Independent Contractor: The Contractor shall be legally considered and <br />independent contractor and neither the Contractor nor its employees shall, under <br />any circumstances, be considered servants or agents of the County; and the <br />Couni~y shall be, at no time, legally responsible for any negligence or other <br />wrongdoing by the Contractor, its servants, or agents. The County shall not <br />witl~lzold from the contract payments to the Contractor any Federal or Stake <br />unemployment taxes, Federal ox State income taxes, Social Security tax, or any <br />G-9 <br />Attachment number 3 <br />Page 516 of 627 <br />
