CONTRACT FOR SERVICES PROVIDED FOR UNDER NORTH CAROLINA STATE APPROPRIATIONS (SENIOR CENTER GENERAL PURPOSE) THIS AGREEMENT, entered into as of this 1st day of July , 2007 , by and between Cabarrus County Deparment of Aging, Cabarrus County Senior Center , (hereinafter referred to as the "Agency") and the Centralina Council of Governments (the Area Agency on Aging), (hereinafter referred to as the "Council"); WITNESSETH THAT: WHEREAS, the Council wishes to have performed and the Agency wishes to provide certain aging services'in connection with activities financed in part by state appropriations provided to the Council through the North Carolina Division of Aging and.Aduit Services as set forth in this agreement; NOW THEREFORE, in consideration of these premises, and mutual covenants and agreements hereinafter contained, the parties hereto agree as follows: Employment of the Agency. The Council hereby agrees to engage the Agency and. the Agency hereby agrees to perform the services hereinafter set forth in accordance with the terms and conditions contained herein. 2. Scope of Services. The Agency shall provide- Senior Center General Purpose services to individuals who are 60 years of age. or older as specified in the Agency's Budget Summary attached hereto as Exhibit A. All services are to be performed in accordance with the. Agency's County Funding Plan for Aging Services submitted to the Council, .the terms of which are incorporated herein by reference. 3. Time of Performance. The services of the Agency are to commence no earlier than July 1, 2007 and shall be undertaken and pursued in such sequence as to assure. their expeditious completion on or before the end of the contract period, June 30, 2008. 4. Contract Administrator. The contract administrator for the Council shall be Gayla S. Woody. The contract administrator for the Agency shall be -Mike Murphy It is understood and agreed that the administrator for the Council and the Agency shall represent their respective employers in the performance of this .contract. Each shall notify the other if the administrator changes during the contract period. 5. Compensation and Method of Payment. The Agency shall be compensated for-the work and .services. actually performed under this contract by payments to be made monthly by the Area Agency on Aging. However, the total ;compensation and reimbursement to be paid the.Agency under this contract shall not exceed the sum of $ 16404 _ in state grant funds. The obligations of the Council set forth in this agreement for payment of compensation are contingent upon receipt of grant funds by the Council from the North Carolina Division of Aging and Adult Services: F-1
