provided the account balance and other details regarding this account at any time upon <br />request. If the cost of repairs on any individual work order exceeds $2000.00 the <br />Director of Facilities will notify the Director of Parks & Recreation. Once the <br />remaining budget balance reaches $5,000.00 or less, the Director of Facilities will <br />advise the Director of Parks & Recreation so that additional funds can be requested if <br />needed prior to the end of the contract year. A List of the current Athletic Field <br />Sites/Facilities covered under this agreement are listed on Schedule 2. <br />] 0. Accounting -The Cabarrus Board Finance Department will be responsible for establishing two <br />separate internal accounting categories and will keep separate accounting records as to amounts <br />actually spent for the Services provided for each of the Cabarrus Board and the Kannapolis <br />Board with regard to the above: (i) Building and Facilities Services; and (ii) Grounds and <br />Maintenance Services. Within thirty (30) days after the end of each quarter, the Cabarrus <br />Board Finance Department will prepare a report showing spending by the Department, which <br />report will be sent to the County Manager and the Superintendents. At the end of each fiscal <br />year, unspent funds in either Board's account, whether in building maintenance and facilities or <br />grounds and maintenance, shall be reserved for subsequent years' budgets and shall only be <br />spent for each respective purpose, subject to agreement by the Parties. <br />11. Disputes - In the event any disputes arise in connection with this Agreement, the Parties shall <br />make an earnest, good faith attempt to resolve their differences prior to implementation of more <br />formal measures for resolving such disputes. <br />12. Termination -This Agreement may be terminated without cause by any Party by providing <br />written notice of termination as of June 30 of any year, provided such written notice is <br />delivered to the remaining Parties at least twelve months in advance. <br />13. Severability - If any portion of this Agreement is held invalid, illegal or unenforceable, such <br />determination shall not impair the enforceability of the remaining terms and provisions <br />contained herein, provided the purposes, intent and objects of this Agreement may be attained <br />and achieved through the enforcement of such remaining terms and provisions. <br />14. Governing Law -This Agreement shall be governed by the law of North Carolina. <br />15. Miscellaneous/Entire Agreement/Paragraph Headings -This Agreement together with the <br />Amendment to Agreement for Maintenance and Repairs for Public School Parks in Cabarrus <br />County, which is attached hereto, sets forth the entire understanding between the Parties and <br />supersedes all previous agreements, arrangements and understandings among the Parties <br />pertaining to the subject matter hereof, whether written or oral, and may not be amended except <br />in writing signed by all Parties. This Agreement is intended to be binding upon and for the <br />benefit of only the Parties and no term or condition hereof is intended to benefit, nor may any <br />term or condition hereof be enforced by any other party. Paragraph headings are for <br />convenience only and shall not be deemed a controlling part of this Agreement. <br />16. Execution -The signatures of the Chairs of the Kannapolis Board, the Cabarrus Board and the <br />Cabarrus County Board of Commissioners constitutes approval of each Party. Resolutions of <br />each Party ratifying this Agreement are attached to this Agreement. <br />6 <br />T -~~ <br />
