6. Representations and Warranties, "AS-IS" Condition. County shall <br />lease and Arts Council accepts the Premises in its "AS-IS" condition. County makes no <br />warranties or representations regarding the Premises and no warranties are implied. Arts <br />Council shall hold County harmless for any defects in the Premises created by Arts <br />Council during its tenancy. <br />7. Repair and Care Of Premises. Arts Council will not commit any waste <br />of the Premises and will pay for all damage to buildings or equipment promptly. Arts <br />Council shall not use or permit the use of the Premises in violation of any present or <br />future applicable law of the United States or of the State of North Carolina, or in <br />violation of any present or future applicable municipal Ordinance or regulation. Arts <br />Council, upon the written consent of County, may, but at Arts Council's own cost and <br />expense and in a good workmanlike manner, make such alterations and improvements <br />on the Premises as Arts Council may require for the Arts Council's use and without, <br />however, materially altering the basic character of the Premises and the building or <br />improvements thereon or weakening any structure on the Premises. In addition, any <br />approved improvements shall be done under consultation with a competent architect and <br />according to a general plan of organized historic renovation and restoration <br />8. Assigning and Subletting. Arts Council shall not sublet the Premises or <br />any part thereof nor assign this Lease. <br />9. Rights of Successors and Assigns. The covenants and agreements <br />contained in the within Lease shall apply to, inure to the benefit of, and be binding upon <br />the parties hereto and upon their respective successors in interest, except as expressly <br />otherwise herein provided. <br />10. Entire Agreement. This Lease and the exhibit attached hereto set forth <br />all the covenants, promises, agreement conditions and understandings between County <br />and Arts Council concerning the Premises, and there are no covenants, promises, <br />agreements, conditions or understanding, either oral or written, between them other than <br />as herein set forth. Except as herein otherwise provided, no subsequent alteration, <br />amendments change, or addition to this Lease shall be binding upon County and Arts <br />Council unless reduced to writing and signed by them. Arts Council agrees that County <br />and County's agents have made no representations or promises with respect to the <br />Premises or the building or the property which are a part thereof except as herein <br />expressly set forth. The prior lease agreement between the parties is hereby cancelled. <br />11. Section Heading. The section headings as to the contents of particular <br />sections herein are inserted only for convenience and are in no way to be construed as <br />part of such section or as a limitation on the scope of the particular section to which they <br />refer. <br />12. Governing Law. This Lease shall be governed by, constructed, and <br />enforced in accordance with the laws of the State of North Carolina. <br /> <br />
