Contract #0850WA <br />This contract is hereby entered into by and between the North Carolina Department of Health and Human Services, Office <br />of Economic Opportunity (the "Division") and Cabarrus County Planning Department (the "Contractor") (referred to <br />collectively as the "Parties"). The Contractor's federal tax identification number is 566000281-06. <br />1. Contract Documents: This Contract consists of the following documents: <br />(1) This contract <br />(2) The General Terms and Conditions (Attachment A) <br />(3) The Scope of Work, description of services, or Contractor's proposal (Attachment B) <br />(4) The line item budget and budget narrative (Attachment C) <br />(5) Key Measures of Accomplishments (Attachment D) <br />(6) Certification of No Overdue Tax Debt (Attachment E) <br />(7) Notice of Certain Reporting and Audit Requirements (Attachment F) <br />(8) Federal Certification Regarding Environmental Tobacco Smoke (Attachment G) <br />(9) Federal Certification Regarding Lobbying (Attachment H) <br />(10) Federal Certification Regarding Debarment (Attachment I) <br />(11) Federal Certification Regarding Drug-Free Workplace (Attachment J) <br />These documents constitute the entire agreement between the Parties and supersede all prior oral or written statements <br />or agreements. <br />2. Precetlertce Atttoug Contract Documents: In the event of a conflict between or among the terms of the Contract <br />Documents, the terms in the Contract Document with the highest relative precedence shall prevail. The order of <br />precedence shall be the order of documents as listed in Paragraph 1, above, with the first-listed document having the <br />highest precedence and the last-listed document having the lowest precedence. If there are multiple Contract <br />Amendments, the most recent amendment shall have the highest precedence and the oldest amendment shall have the <br />lowest precedence. <br />3. Effective Period: This contract shall be effective on July I, 2007 and shall terminate on June 30, 2008, with the <br />option to extend, if mutually agreed upon, through a written amendment as provided for in the General Terms and <br />Conditions as described in Attachment A. <br />4. Contractor's Duties: The Contractor shall provide the services as described in Attachment B Scope of Work and in <br />accordance with the approved budget in Attachment C. <br />The Contractor shall submit to the Office any other plans, reports, documents, or other products that the Office may <br />specify; in the form specified by the Office, including without limitation the following: <br />a. A monthly expense report of expenses incurred during the previous month; <br />b. A quarterly report of the Contractor's program activities of the Contractor; and <br />c. A Year-End report of Outcomes achieved as a result of contract activities of the Contractor. <br />5. Division's Duties: The Division shall pay the Contractor in the manner and in the amounts specified in the Contract <br />Documents. The total amount paid by the Division to the Contractor under this contract shall not exceed $116,590 <br />(One Hundred Sixteen Thousand Five Hundred Ninety) Dollars in Weatherization Assistance Program, CFDA <br />#81.042 (45%) and CFDA #93.568 (55%) and $28,936 (Twenty-Eight Thousand Nine Hundred Thirty-Six) Dollars <br />in Heating and Air Repair and Replacement Program, CFDA #93.568 (100%). <br />6. Conflict of Ltterest Policy: Contractor IS NOT anon-profit agency for which a conflict of interest policy must be <br />filed. <br />7. Statement of No Overdue Tax Debts: Contractor's sworn written statement pursuant to N.C.G.S. 143C-6-23(c), <br />stating that the Contractor does not have any overdue tax debts, as defined by G.S. 105-243.1, at the federal, State, or <br />local level, is attached as Attachment F. Contractor acknowledges that the written statement must be filed before <br />Division may disburse the grant funds. <br />-z-1 <br />
