COMPENSATION <br />Compensation for the above Consulting Services shali be Eight Thousand, Five Hundred Dollars ($8,500). Included <br />in this amount is an allowance for General Contractor services of Three Thousand, Five Hundred Dollars ($3,500) for <br />demolition of interior finishes to expose certain structural conditions. Should additional General Contractor services <br />be required due to unforseen conditions, the Architect will obtain written approval from the Owner for additional <br />SBI'VIC9S. <br />Invoices will be submitted on a monthly basis and will be requested to be paid within ten (10) days of receipt. <br />Amounts unpaid thirty (30) days after the invoice date shall bear interest at the rate of Prime plus one percent at First <br />Charter Bank. <br />REIMBURSABLE EXPENSES <br />Normal Reimbursabls Expenses, such as reproductions, travel, iong-distance telephone, and fax transmissions shali <br />be in addition to the Lump Sum Fes and billed to you at cost plus a markup of twenty percent (20°/a), not to exceed <br />Five Hundred Dollars ($500). <br />HOURLY RATES <br />Principal <br />Principal <br />Partner <br />Senior Technical Personnel, incl. Hughes, AIA <br />Eric Bollenbecker / Tony Grillo / <br />Phil Barry / Micah Barron <br />Michael Burris <br />Jane Harris / Tracey McCarty <br />$225.00 <br />$225.00 <br />$185.00 <br />$ 95.00 <br />$ 95.00 <br />$ 40.00 <br />HAZARDOUS MATERIALS <br />Unless otherwise provided for in this agreement, YCHA and its consultants shall have no responsibility for the <br />discovery, presence, handling, removal and disposal of, or exposure of persons to, hazardous materials or toxic <br />substances in any form at the Project site, including asbestos, lead paint, etc. If YCHA is required to perform <br />services related to hazardous materials, the Owner agrees to indemnify and hold harmless YCHA, its consultants <br />and their agents and employees from and against any and all such claims, damages, losses and expenses including <br />but not limited to attorneys' fees arising out of or resulting from pertormance of services by YCHA, its consultants or <br />their agents or employees refating to such services except where such liability arises from the sole negiigence or <br />willful misconduct of the perso~i or entity seeking indemnification. It is assumed that the Owner wili, however, <br />contract independently for further surveying and removal of all such materials from the buildings and property prior to <br />any renovations or new construction. <br />DISPUTE RESOLUTION <br />Claims, disputes or other matters in question betwsen the parties to this Agreement arising out of or relating to this <br />Agreement or breach thereof shall be subject to and decided by mediation and arbitration in accordance with the <br />Construction Industry Mediation and Arbitration Rules of the American Arbitration Association in effect at the time of <br />demand for arbitration. The parties agree that they shall endeavor to settle disputes by mediation in accordance with <br />the Construction Industry Mediatlon Rules of the American Arbitration Association in effect at the time of demand for <br />mediation. A demand for mediation shall be made within a reasonable time after the claim, dispute or other matter in <br />question has arisen. Any party ro this Agreement shall request mediation prior to a demand for arbitration.
