Beginning July 1, 2007 for the First Renewal Term and July 1, 2008 for the Second <br />Renewal Term, the Rent shall be increased by adding to the monthly Rent applicable for <br />the immediately preceding Initial Term or First Renewal Term, as the case maybe, a <br />percentage thereof equal to the percentage increase in the Consumer Price Index for <br />Charlotte, North Carolina -All Items-("CPI") (or if such index is not in use or if the <br />components thereof as of the date of this Sublease are substantially altered or revised, the <br />index most nearly comparable thereto shall be substituted by Sublessor for the described <br />index) over the respective preceding one (1) year ending as of the most recent month for <br />which the CPI statistics are then available as of the date of each annual Rent adjustment, <br />as set forth above, I-Iwever, the percentagevncrease for Rent in each renewal term shall <br />not exceed ten percent (10%) of the Rent for the immediately preceding one (1) year <br />term. Sublessor shall notify Subtenant of said percentage change and the total monthly <br />Rent due as a result thereof and shall furnish Subtenant a copy of Sublessor's <br />computation of the percentage change. <br />All Rent payments shall be paid monthly in advance and received by Sublessor on or <br />before the first (15`) day of each month (the "Due Date") without reduction, abatement or <br />setoff (except when and as specifically provided herein), and shall be mailed or delivered <br />to Sublessor's office at the address above (or at such other address for the payment of <br />Rent that Sublessor may give notice of to Subtenant). Any late payments shall be subject <br />to an additional late fee of $100.00. In addition, any Rent payment due and not paid <br />within ten (10) days after written notice ofnon-payment shall also bear interest <br />retroactive from the Due Date at a rate of twelve percent (12%) per annum until paid. <br />Rent for any partial calendar month shall be prorated at a daily rate. <br />5. Subtenant Access To BuildinelPremises. Except in the case of emergencies not <br />within Sublessor's control, access to the Building and the Premises shall be provided to <br />appropriate representatives of Subtenant at all times and at no additional expense, twenty <br />four (24) hours a day, seven (7) days a week, three hundred sixty five (365) days a year. <br />Access to the Building and Premises on holidays and at times. other than normal business <br />hours shall be provided by key, card access or other means acceptable to Sublessor and <br />Subtenant. Sublessor shall provide. Subtenant with a sufficient number of keys, access <br />cards or other devices needed to allow Subtenant and Subtenant's employees such access. <br />h7 the event Sublessor changes the means of access after the commencement date of this <br />Sublease, Sublessor shall provide Subtenant with replacement keys, access cards or other <br />devices as required at no additional cost to Subtenant. However, if Subtenant requests <br />such changes in access or in the event Subtenant or its employees, agents or invitees <br />cause the security of the Premises, the Building or the Land to be violated in Sublessor's <br />opinion, Subtenant must promptly pay the entire cost of any replacement locks, keys and <br />other security devices for all Building tenants. <br />6. Subtenant Use Of Premises. The Premises may be used for general offices to <br />conduct such business as is normally conducted by Subtenant. By its signature below, <br />Subtenant acknowledges that Subtenant has inspected the Premises and acknowledges the <br />Premises to be in satisfactory condition for Subtenant's intended purposes with exception <br />of Exhibit B (the items on this list will be corrected as soon as feasibly possible). <br />F- I ~ <br />
