STATE OF NORTH CAROLINA COUNTY OF CABARRUS STANDARD CONTRACT THIS CONTRACT ("Contract") is made and entered into as of the 17a' day of September 2007, by and between CABARRUS COUNTY (the "Count}') and ADW Architects P.A.("Contractor") which is a Architectural Firm located in Charlotte NC. 1, Background and Purposes. Facilities Assessment And Space Needs St~dv 2. Services and Scope to be Performed. The Contractor shall provide "Services" at the charges set forth in the attached Exhibit A. In this Contract, Services is defined as the materials, labor, services and/ox supplies Contractor is required to provide pursuant to this Contract and all of the Contractor's duties to the County that arise from this Contract or by law. Any amendments, corrections ox change orders by either party must be in writing and signed by both parties. The County reserves the right to refuse payment fox any work outside that specifically authorized in this Contract ox pursuant to a duly approved amendment ox change order. 3. Complete Work without Extra Cost. Unless otherwise provided, the Contractor shall obtain and provide without additional cost to the County, all labor, materials, equipment, transportation, facilities, services, permits and licenses necessary to perform the Work. 4. Compensation. The County shall pay the Contractor fox the Services as itemized in Exhibit A. Any additional services needed beyond regularly scheduled Services may require additional charges. The County shall not be obligated to pay the Contractor any payments, fees, expenses, or compensation other than those authorized by this Section ox authorized by a duly approved amendment or change order. 5. Term. This Contract shall commence on September 17 2007 .This Contract shall not be automatically extended unless agreed to in writing by the County ox unless otherwise provided in Exhibit A. 6. Contractor's Billings to County. Payments will be made in accordance with this paragraph, unless otherwise provided in Exhibit A. Contractor shall submit an invoice to the County Finance Department. Upon receipt of the pay request the County Finance Department will verify the amounts and if correct, will pay the correct amount to Contractor within two (2) weeks of verification. Final payment shall be made to the Contractor within thirty (30) days after all work has been fully completed and verified by the County official responsible fox the type of Services provided by Contractor. 7.
