(h) Tenant Notice. A notice letter addressed to each tenant of the Property advising <br />the tenant of the transfer of the Property, and specifying the manner in which rent is to be paid <br />subsequent to the Closing. <br />(i) Assignment and Assumption Agreement. An Assignment and Assumption <br />Agreement assigning to the Buyer all of Seller's rights under the Leases, and under any service <br />contracts, warranties and other intangible personal property which Buyer has decided will <br />comprise a portion of the Property. <br />Q) Additional Documents. Such other documents and funds as may reasonably be <br />required to close the sale in accordance with this Contract. <br />(k) The instruments containing all of the foregoing shall be reasonably satisfactory in <br />form and substance to Buyer and the Title Company. <br />17. ASSIGNMENT. This Contract shall be assignable by Buyer without Seller's consent <br />provided that the assignee agrees to assume all liabilities of Buyer hereunder. <br />18. EVIDENCE OF TITLE. Seller agrees to deliver to Buyer forthwith after execution of <br />this Contract copies of pertinent title information in possession of or readily available to Seller, including <br />but not limited to, title insurance policies, attorneys' opinions of title, surveys, deeds, notes and deeds of <br />trust; estate records, rights-of--way, easements, and declarations and covenants relating to the Property. <br />19. RISK OF LOSS. The risk of loss prior to Closing shall be upon Seller. <br />20. NOTICES. All notices, requests, demands, tenders, and other communications under this <br />Contract shall be in writing. Any such notice, request, demand, tender or other communication shall be <br />deemed to have been duly given when actually delivered, or when delivered to a nationally recognized <br />commercial courier for next day delivery, or when deposited in the United States Mail, Certified Mail; <br />Return Receipt Requested, with all postage prepaid, to the address for each party set forth below, or when <br />transmitted by facsimile to the telecopy number for each party set forth below (provided receipt of such <br />facsimile is confirmed by the sender). Rejection or other refusal to accept, or inability to deliver because <br />of changed address of which no notice was given, shall be deemed to be receipt of such notice, request, <br />demand, tender, or other communication.
