MASTER AGREEMENT <br />THIS MASTER AGREEMENT, (the "Master Agreement") made and <br />entered into this day of , by and between BI- <br />TEK, LLC, a North Carolina limited liability company, having its principal address <br />at 8604 Cliff Cameron Drive, Suite 170, Charlotte, NC 28269 ("BI-Tek"), and the <br />CABARRUS COUNTY, a body politic and political subdivision of the State of <br />North Carolina, having its principal office at 65 Church Street SE Concord NC <br />28025 (the "Licensee"). <br />PREMISES <br />BI-Tek has created and owns software applications used by local <br />governments to value real and personal property and to assess, bill,., collect-and <br />distribute taxes (the "Applications"). <br />Licensee desires to obtain from BI-Tek the right to use certain of the <br />Applications and to obtain support in connection with such use. <br />1n consideration of the Premises and the Covenants and Conditions herein <br />contained, the parties do agree as follows: <br />COVENANTS AND CONDITIONS <br />1. Term. The term of this Agreement shall begin on the date of <br />execution by Licensee and shall continue; unless terminated or extended as <br />.provided herein, for a period of twelve (12) months, ending at midnight on the day <br />prior to the first anniversary of this Master Agreement. <br />2. Party Responsibilities. BI-Tek is responsible for delivering the <br />Applications and/or services described in the Scope of Work attached as Exhibit <br />"A" and incorporated by reference, and for providing the support services described <br />therein (the "Services"). Licensee shall have the responsibilities assigned to it in <br />the Scope of Work. <br />3. License. Licensee agrees to license and use the Applications in <br />accordance with the terms of the Software License and Support Agreement attached <br />as Exhibit "B" and incorporated herein by reference. <br />4. Compensation. Licensee shall pay BI-Tek the compensation for <br />license of the Applications and provision of Services set forth in Exhibit "C," <br />attached and incorporated by reference, (the "Compensation"). Any sums -due BI- <br />Tek-that are not received witliin thirty. (30) days of their due day shall'accrue <br />interest at an annual rate equal to eighteen percent (18%) until paid in full. If <br />Licensee fails to timely pay the Compensation, after ten (10) days written notice to <br />Licensee, BI-Tek may suspend performance of the Services, without further notice <br />or delay and without prejudice to enforcement of BI-Tek's other rights hereunder. <br />5.
