Termination of Contract for Cause. In such event, all finished documents and other materials collected or produced under this contract shall at the option of the Council, become Its property. The County shall be entitled to receive Just andequltable.compensatlon for any. work satisfactorily performed under this contract, except to the extent such work must be duplicated In order to complete the contract. Notwithstanding the foregoing, the County shall not be relieved ofiliabillty to the Council for damages sustained by the Council by virtue of any breach of this contract by the County and the Council may withhold payment of any additional sums as security for payment of damages caused by the County's breach, until such time as the exact amount of the damages resulting from such breach is determined. 28. Termination f~r Convenience. The Council may terminate this contract for the convenience qf the Council at any time by giving written notice to the County of such termlnatlen and specifying the date thereof, no fewer than fifteen (16) days prior to the e"ectlve date of such termination. In that event, all finished or unfinished do~uments and other materials produced or collected shall, at the option of the j::ouncil, become the property of the Council. If this contract Is terminated by ~he Council as provided in this paragraph, the County will be paid .the .arant relnjbur.sement. p.ercentage, described In. paragraph 6, of the actual allowable exp,nses that have been Incurred by the County prior to the effective date of such ~rmlnatlon, less payments of compensation previously made by the Council. .
