Provider shall abide by all laws and regulations ofthe State of North Carolina, <br />. ...-.-_ ..lll!d.s!1.~nh.ol(l.!lpp.~()priate licenses nec(J~.saryto pnlyide sllb~ta.Il~l:.a~lI~e <br />treatment. <br /> <br />H, Provider understands that the services of this contract cannot be subcontracted or <br />assigned to other providers without prior written consent of the County, <br /> <br />SECTION V: PERSONNEL <br /> <br />A. Provider agrees to maintain at least one substance abuse counselor per <br />approximately 30 clients at various stages of treatment with no more than 15 <br />clients active in Phase I. Each counselor must have a minimum of 2-5 years of <br />experience, pr~ferably with the offender population and appropriate training and <br />education. <br /> <br />B. Provider is responsible for operating costs of Provider's program including, but <br />not limited to salaries, benefits, travel, training, supplies, rent and utilities, <br /> <br />C, Employees providing services pursuant to this Contract are employees of the <br />Provider, and the County shall not be responsible for the administration, <br />management, or supervision of the Provider's employees. <br /> <br />SECTION VI: INDEMNIFICATION <br /> <br />The Provider hereby releases the County from, agrees that the County and each <br />commissioner, officer, employee and agent shall not be liable for, and agrees to <br />indemnify and hold harmless the County and each commissioner, officer, employee and <br />agent thereof from any liabilities, obligations, claims, damages (including but not limited <br />to civil or criminal penalties), litigation costs and expenses (including reasonable <br />attorney's fees and expenses), imposed on, incurred by or asserted against the County or <br />any commissioner, officer, employee or agent thereof for any reason whatsoever as they <br />are incurred and finally awarded (included but not limited to accident, other occurrence <br />causing injury or death, sickness or disease to any person or damages to or destruction of <br />property) pertaining to this contract or arising out ofthe activities ofthe Provider under <br />this contract, <br /> <br />SECTION VII: INSURANCE <br /> <br />The Provider shall take out and maintain insurance as listed below from a company <br />which is authorized to do business in the State of North Carolina. <br /> <br />A. Comprehensive General Liability, Bodily Injury and Property Damage Liability. <br />B. Professional Liability <br />C. Worker's Compensation <br /> <br />6 <br /> <br />~-l. <br />
