recommendations will include the following: the types of park, recreational, and open space land the Coalition may want to acquire, the location of same and the various acquisition and financing options. If a decision is made to proceed, TPL will make specific recommendations to the Coalition and to the various elected Boards as to source of funding, amount and duration of financing, expenditure priorities, public accountability, and leveraging options that are available. 2. PROFESSIONAL FEES a. The Coalition agrees to pay TPL, as professional fees, $5,000.00 upon completion and delivery of the feasibility study to the Coalition. b. The Coalition agrees to pay TPL, as professional fees, $7,000.00 upon completion and delivery to the Coalition of a summary of the findings of the public opinion research. c. The Coalition agrees to pay TPL, as professional fees, $7,500.00 upon completion and delivery of the program recommendations to the Coalition. 3. STATUS AS INDEPENDENT CONTRACTOR TPL shall operate as an independent contractor and not an agent or employee of the Coalition, In its capacity as an independent contractor, it is understood that TPL shall not be treated as an employee of the Coalition for purposes of unemployment, workers compensation benefits, or state or federal tax purposes. Furthermore, this agreement does not create a partnership relationship between The Coalition and TPL, and is intended solely to establish the relationship of independent contractor. 4.
