<br />failing to perform, to the extent and for the period that such continues, save and except <br />that the provisions of this Section shall not excuse a nonpayment of rental or other sums <br />due hereunder on the due date thereof. <br /> <br />18. Ouiet Enjoyment: If and as long as Lessee pays-the rentals reserved by this <br />Lease and performs and observes all the covenants and provisions hereof to be <br />performed and observed by Lessee, Lessee shall quietly enjoy the Premises, subject <br />however, to the terms of this Lease, and Lessor will warrant and defend Lessee in the <br />enjoyment and peaceful possession of the Premises throughout the term of this Lease, <br />including any extension hereof, or other holdover occupancy. <br /> <br />19. Access to Premises: Lessor or Lessor's agents shall have the right to enter the <br />Premises at all reasonable times for the purpose of inspecting or examining the same and <br />to make such repairs as Lessor shall deem necessary as may be required to be made by <br />Lessor. <br /> <br />20. Contamination Liabilitv: Notwithstanding any other provision ofthis Lease, <br />Lessee agrees and hereby declares that Lessee shall be solely responsible for and agrees <br />to indemnifY, defend and hold harmless Lessor, its employees, agents, officers, <br />directors, heirs and assigns, from and against any and all fines, suites, claims, demands, <br />penalties, liabilities, costs or expenses, losses, settlements, remedial action requirements <br />and enforcement actions, administrative proceedings and any other actions of whatever <br />kind of nature, including attorney's fees and costs (and cost and fees on appeal), fees of <br />environmental consultants and laboratory fees, known or unknown, contingent or <br />otherwise, arising out of or in any way related to the discovery, remediation, or disposal <br />of any contamination resulting from the misuse or mishandling of any toxic or <br />hazardous substance, including any personal injury (including wrongful death) or <br />property damage (real or personal) arising from or caused by the negligence or willful <br />misconduct or Lessee, or from any other claim arising out of Lessee's breach of this <br />Lease. This paragraph shall survive termination of this Lease. Lessor makes no <br />warranties or representations regarding the existence of toxic or hazardous substances <br />on the Premises. Lessee agrees to be responsible for remediation if created by Lessee. <br /> <br />21. Rights of Successors and Assigns: The covenants and agreements contained <br />in the within Lease shall apply to, inure to the benefit of, and be binding upon the parties <br />hereto and upon their respective successors in interest, except as expressly otherwise <br />herein provided. <br /> <br />22. Entire Agreement: This Lease and the exhibit attached hereto set forth all the <br />covenants, promises, agreement conditions and understandings between Lessor and <br />Lessee concerning the Premises, and there are no covenants, promises, agreements, <br />conditions or understanding, either oral or written, between them other than as herein <br />set forth. Except as herein otherwise provided, no subsequent alteration, amendments <br />change, or addition to this Lease shall be binding upon Lessor and Lessee unless <br />reduced to writing and signed by them.
