<br />PROFESSIONAL SERVICES AGREEMENT <br /> <br />This service agreement, effective the 1st day of July, 2005, is entered into by <br />and between Logan Systems, Inc. a corporation with its principal place of <br />business at 6B Oak Branch Drivel Greensboro, North Carolina 27407 (IlLogan <br />Systems") and Cabarrus County, North Carolina, a political subdivision of the <br />State of North Carolina with its principal place of business at 65 Church <br />Street, SE Concord, North Carolina 28027 (the "County"). <br /> <br />WHEREAS, the County desires to obtain certain services for the Cabarrus County <br />Register of Deeds Office ("ROD"); and <br /> <br />WHEREAS, Logan Systems can provide certain services needed by the RODi <br /> <br />NOW THEREFORE, in consideration of the premises and other good and valuable <br />consideration, the parties agree that pursuant to the terms outlined herein, the <br />parties agree as follows: <br /> <br />I. Logan Systems agrees to provide the ROD with professional management <br />services of the permanent land records maintained by the ROD. These <br />services can be broadly separated into the following categories: (1) <br />Indexing; (2) Recording (imaging); (3) Public Retrieval including <br />internet and intranet for ROD land records; and (4) Receipting system. <br /> <br />II.~ <br /> <br />1. Term of the Aqreement: This contract covers all services related to <br />day forward filings provided by Logan Systems from July 1, 2005 <br />through June 30, 2008 ("Term"). The contract will be subject to <br />mutually agreeable negotiated renewals after the expiration of the <br />Term. <br />2. Prior Aqreement for Back File Conversion: A prior agreement exists <br />for the conversion of Deed and Deed of Trust Books. This agreement <br />does not effect this prior conversion agreement. <br />3. Services Provided: Logan Systems hereby agrees to provide a turnkey <br />service that includes all necessary hardware, software, training and <br />support. Each of these services is explained in greater detail in <br />Section III below. . <br />4. Trainin~, All necessary training for both the ROD's staff and the <br />general public will be provided by Logan Systems at no additional <br />charge to the County. The ROD shall determine the necessary amount <br />of training. <br />S. Support: Unlimited support is provided via a toll free number from <br />8,00AM through 5,00PM Monday through Friday. If the problem or <br />question cannot be adequately answered over the telephone, then a <br />support representative will visit the RODls office within two <br />business days. If equipment needs to be repaired or replaced, Logan <br />Systems will repair or replace such equipment within twenty four <br />(24) hours after receipt of notice from the ROD. However, in the <br />event the event necessitating the repair or replacement occurs <br />immediately prior to a non~business day, Logan Systems shall have <br />twenty four (24) hours from the following business day to repair or <br />replace such equipment. <br />6. Remote Access Support After Normal Hours, Logan Systems will <br />provide after hours contacts to facilitate phone support of the web <br />site.
