<br />Systems will provide on-site support after hours for an additional <br />fee. <br />7. Consumable Supplies: The cost of consumable supplies such as paper <br />and toner are not included in the charges listed below. <br />8. Ownership of Hardware and Software: Logan Systems warrants. and <br />represents to the County that it is the exclusive owner of all <br />hardware and software provided to the County and shall indemnify and <br />hold harmless the County, the ROD and any other party rightfully <br />using the same against any and all claims/damages/costs or <br />expenses (including without limitation/attorneys' fees and other <br />legal costs) as they are incurred and finally awarded, arising out <br />of or attributable to such entity's or person's use of such hardware <br />and software in accordance with this Agreement. The County, in <br />reliance upon the above representation's and warranties of Logan <br />Systems, acknowledges that all hardware and software provided as <br />part. of the indexing and imaging services remains the property of <br />Logan Systems. <br />9. Year 2000 Compliance: Logan Systems warrants that all computer <br />hardware and software provided by Logan Systems will be year 2000 <br />compliant. <br />10. Changes in Technology: If technology changes require Logan Systems <br />to change either the operating systems on which its software and <br />hardware operate I or the type of hardware or media used in the <br />storage of data, Logan Systems will convert the data it manages for <br />the ROD to the newer media at no charge to the County. <br />11. Authorization for past Services: If this contract is signed by one <br />or both parties after July 1, 2005, the contract specifically <br />authorizes payments for all satisfactorily provided services <br />provided between July 1, 2005 and the execution date. <br />12. Assignment: This contract may not be assigned without the prior <br />written acceptance of the proposed assignment by both parties. <br />13. Integration Clause: This contract represents the entire agreement <br />between the parties. Any modification or alteration of this <br />agreement must be done so in writing and approved by both parties. <br />14. Severability: The provisions of this contract are severable, and <br />should any court of competent jurisdiction deem any provision Cs) <br />invalid/the rernainingprovisions will remain valid/unless such <br />ruling will make further performance under the contact impossible or <br />impose an unconscionable burden upon one of the parties. <br /> <br />III. Services Provided <br /> <br />1. Traditional Indexing Services: Logan Systems ourrently provides <br />indexing services to the ROD's office. It is this system that <br />allows the ROD's staff to input indexing data and print out various <br />verification forms and statistical reports to insure the aocuracy of <br />the information. The monthly and annual merges and the <br />corresponding paper prints will continue to be provided. In <br />addition, all corrections to the indexing data will continue to be <br />reflected in paper print outs as appropriate. <br />2. Automated Indexing: Logan Systems will provide a computer system <br />that allows for searches of the entire indexing database for land <br />and other related records. <br />3. Soanning of Land Records: The ROD will continue to utilize the <br />scanning system and servicss provided by Logan Systems. This <br />service includes the creation of archival microfilm as required by <br />state law. <br /> <br />1=. ~ <br /> <br />2 <br />
