1. LEASE\> SPACE. Arts Council will lease all of the offices located in the Courthouse located on tJte first floor except for the "Museum Room" which is currently leased to Historic Cabar,us, Inc. Arts Council will also have shared use of a conference room and the kitchen in!the Courthouse. Hereafter, the office space and shared use of the conference room and kilchen shall be collectively referred to as the "Leased Premises". The County will install ~lectrical and telephone connections in the Leased Premises for the use of Arts Counci1.! 2. TERM QF LEASE. To have and to hold for a term of 5 years commencing on ',2005, and ending on ,2010, unless sooner terminated upon written!mutual consent of both parties. The term of the Lease shall be automatically extended for five additional years, unless either party gives notice ninety (90) days prior to the en~ of the current term that it wishes to terminate the Lease. . As a condition to the arts C01.incil having the additional five year term, the Arts Council shall, during the initial term, njlake improvements to the Leased Premises and auditorium of the Courthouse, including but not limited to the P A system, light system and curtains, said improvements to be in aivalue of not less than $75,000.00. Any improvements made by the Arts Council shall b~ carried out in accordance with the terms of Paragraph 7 below. 3. LEASE A YMENTS. Arts Council shall pay the County annual rent of $1.OO(ONE DOLLAR) or the right to occupy the Leased Premises. Lease payments shall be due and payabl~ the first day of July each year of the Lease term. 4. COUNTY RESPONSIBILITIES. a) Mainten,nce: The County will maintain the exterior of the Courthouse building and the grounds, which responsibilities will include, without limitation, maintenance an repair of the Courthouse structure, roof, HV AC system landscaping and ighting of the Courthouse grounds, and maintaining the currently availabe parking facilities on the Courthouse grounds. All maintenance and repairs shall e performed in a workmanlike manner, normal wear and tear excepted. In add tion, the County agrees to maintain the interior of the , Courthouse building in a condition as much like its original condition as possible; provided however, that central heating, air conditioning, electrical fixtures and appliances may b~ utilized in such ways that are as non intrusive as possible on the Courthouse i~. erior and in keeping with the original fixtures. The County may make such a' ditional improvements as shall contribute to the beauty of the Courthouse as clse as possible to what is believed to be its original existence. All such improvefnents shall be done under consultation with a competent architect and accqrding to a general plan of organized historic renovation and restoration. ' !:i-Ie
