I. PUBLICITY: <br /> <br />The County shall make every reasonable effort in its publicity and in other <br />ways, to fully inform the public concerning the County Project. Any publicity <br />given to the County Project must recognize the Cabarrus/Iredell/Rowan HOME <br />Consortium as the sponsor and the County Project being funded by HUD through the <br />HOME Investment Partnership Program. The City will, in all publicity originated <br />by it concerning the Program, recognize the County as the entity responsible for <br />carrying out the County Project. <br /> <br />J. SUSPENSION OR TERMINATION FOR CAUSE: <br /> <br />1. The City, upon written notice to the County, may suspend or terminate payment <br />of Grant (or Program) funds to the County in whole or in part for cause which <br />shall include, but not be limited to, the following: <br /> <br />(a) <br />(b) <br /> <br />(c) <br /> <br />(d) <br /> <br />Improper use of Grant funds; <br />Failure to comply with the terms and conditions of this <br />Agreement; <br />Submission to the City of reports which are materially incorrect or <br />incomplete in any material respect; <br />Suspension of the Grant from HUD to the City in whole or <br />part for any reason. <br /> <br />2. The City, upon written notice to the County, may also withhold payment of any <br />unearned portion of the Grant if the County is unable or unwilling to accept any <br />additional conditions that may be provided by law, by executive order, by <br />regulations or by other policy announced by HUD. <br /> <br />3. If the City withholds payment of Program funds for any reason, it shall <br />advise the County in writing as to what action must be taken by the County as a <br />condition precedent to the resumption of payment. <br /> <br />K. ASSIGNABILITY: <br /> <br />This Agreement and the rights, obligations and liabilities herein is not <br />assignable without the prior written consent and approval of the other party; <br />Any work or services permitted to be subcontracted hereunder shall be specified <br />by written contract or agreement. <br /> <br />L. DOCUMENTS OF INCORPORATION: <br /> <br />This Agreement incorporates all attachments hereto and is subject to all <br />applicable provisions and requirements of all applicable federal, state and <br />local laws. All of the foregoing are hereby made a part of this Agreement and <br />incorporated herein by reference. <br /> <br />M. MISCELLANEOUS PROVISIONS: <br /> <br />1. The singular of any term used in this Agreement shall include the plural, and <br />the masculine shall include the plural, and the masculine shall include the <br />feminine and vice versa. <br /> <br />2. This Agreement may be executed in two duplicate originals and an original <br />signed copy of this Agreement shall be considered as an enforceable original. <br /> <br /> <br />
