Provided that Subtenant is not in default hereunder, Subtenant shall be <br />permitted to pay the Rent for the Initial Term in five (5) equal monthly installments of <br />$9,498.42 each and ten (10) subsequent equal monthly installments of $9,016.79 each, <br />such payments due and payable in advance on the first day of each month beginning <br />April 1, 2004. <br /> <br />Beginning July 1, 2005 for the First Renewal Term and July 1, 2006 for the Second <br />Renewal Term, the Rent shall be increased by adding to the monthly Rent applicable <br />for the immediately preceding Initial Term or First Renewal Term, as the case may be, <br />a percentage thereof equal to the percentage increase in the Consumer Price Index for <br />Charlotte, North Carolina -All Items-("CPI") (or if such index is not in use or if the <br />components thereof as of the date of this Sublease are substantially altered or revised, <br />the index most nearly comparable thereto shall be substituted by Sublessor for the <br />described index) over the respective preceding one (1) year ending as of the most recent <br />month for which the CPI statistics are then available as of the date of each annual Rent <br />adjustment, as set forth above. However, the percentage increase for Rent in ea~h <br />renewal term shall not exceed ten percent (10%) of the Rent for the immediately <br />preceding one (1) year term. Sublessor shall notify Subtenant of said percentage <br />change and the total monthly Rent due as a result theroof and shall furnish Subtènant a <br />copy of Sublessor's computation of the percentage change. <br /> <br />All Rent payments shall be paid monthly in advance and received by Sublessor on or <br />before the first (¡s~ day of each month (the "Due Date") without reduction, abatement <br />or setoff (except when and as specifically provided herein), and shall be mailed or <br />delivered to Sublessor's office at the address above (or at such other address for the <br />payment of Rent that Sublessor may give notice of to Subtenant). Any late payments <br />shall be subject to an ad~itionallate fee of $100.00. In addition, any Rent payment due <br />and not paid within ten (10) days after written notice of non-payment shall also bear <br />interest retroactive from the Due Date at a rate of twelve percent (12 %) per annum <br />until paid. Rent for any partial calendar month shall be prorated at a daily rate. <br /> <br />4. Subtenant Access To Buildine/Premises. Except in the case of emergencies not <br />within Sublessor's control, access to the Building and the Premises shall be provided to <br />appropriate representatives of Subtenant at all times and at no additional expense, <br />twenty four (24) hours a.day, seven (7) days a week, three hundred sixty five (365) <br />days a year. Access to the Building and Premises on holidays and at times other than <br />normal business hours shall be provided by key, card access or other means acceptable <br />to Sublessor and Subtenant. Sublessor shall provide Subtenant with a sufficient number <br />of keys, access cards or other devices needed to allow Subtenant and Subtenant's <br />employees such access. In the event Sublessor changes the means of access after the <br />commencement date of this Sublease, Sublessor shall provide Subtenant with <br />replacement keys, access cards or other devices as required at no additional cost to <br />Subtenant. However, if Subtenant requests such changes in access or in the event <br />Subtenant or its employees, agents or invitees cause the security of the Premises, the <br />Building or the Land to be violated in Sublessor's opinion, Subtenant must promptly <br /> <br />r:::-I <br />
