<br />STATE OF NORTH CAROLINA <br />DIVISION OF SOCIAL SERVICES <br /> <br />VENDOR AGREEMENT <br /> <br />This Agreement is hereby entered into between Cabarrus County, North Carolina, a <br />political subdivision of the state of North Carolina ("County"), on behalf of <br />the Cabarrus County Department of Social Services (the "Department"); and The <br />Coltrane LIFE Center, Inc., a North Carolina non-profit corporation (the <br />"Provider") . <br /> <br />WHEREAS, the Department is in need of services provided by the Provider, which <br />services are more specifically set forth in Attachment A hereto (the <br />"Services"), incorporated as if more fully set forth herein; and <br /> <br />WHEREAS, the Provider is willing to provide the Services; <br /> <br />NOW THEREFORE, in consideration of the premises and other good and valuable <br />consideration, the parties agree as follows: <br /> <br />1. <br /> <br />2. <br /> <br />3. <br /> <br />.) <br /> <br />Term. This agreement shall be in effect from and to the dates specified <br />on Attachment A. The agreement shall remain in éffect subject to the <br />availability of funds to the County and the Department for the <br />provision of the Services, continued compliance by the Provider with <br />applicable standards for the Services and other terms of the agreement <br />as stated herein. <br /> <br />County Duties. The County, through the Department agrees to: <br /> <br />a. <br /> <br />Determine eligibility of individuals for the Service(s) in accordance <br />with Federal and State regulations; <br /> <br />b. <br /> <br />Notify the Provider on Form DS3-5027 or DSS-1360 (Rev. 4-94, Jobs <br />Program Referral and Authorization) concerning the eligibility of each <br />individual for the Services, the period of time for which Services are <br />authorized, and any changes in the individual's eligibility status. <br /> <br />c. <br /> <br />Pay the Provider for services delivered to eligible individuals under <br />the terms of this agreement at the rate specified in Attachment A; <br /> <br />uu_.-... <br /> <br />. u u. - - - <br /> <br />d. <br /> <br />Keep the Provider informed of all applicable Federal and State laws, <br />regulations, policies and standards governing the services to . <br />which the Provider must adhere and of any alterations to these; and <br /> <br />e. <br /> <br />Accept fiscal responsibility for deviations from the terms of this <br />Contract as a result of acts of the Department or any of its officers, <br />employees, agents or representatives. <br /> <br />Provider Duties. The Provider agrees to: <br /> <br />a. <br /> <br />Provide the service(s) stipulated in this agreement as described in <br />Attachment A and in accordance with applicable standards for the <br />Service(s); <br /> <br />F-L, <br />
