<br />AGREEMENT <br /> <br />THIS AGREEMENT, made this _ day of , 2004, by and between Cabarrus <br />County, a body politic and corporate and a political subdivision of the State of North Carolina, <br />hereinafter referred to as the "COUNTY", and EarthData International, whose principal office is at . <br />7320 Executive Way, Frederick, MD 21704, hereinafter referred to as the "CONTRACTOR", <br /> <br />WITNESSETH THAT: <br /> <br />WHEREAS, the COUNTY desires to engage the CONTRACTOR to render certain professional <br />services and deliver certain materials hereinafter described; and <br /> <br />WHEREAS, the services are of a technical nature and are temporary in character; and <br /> <br />WHEREAS, funds are available in the 2004-2006 County budgets for the performance of said <br />services; and <br /> <br />WHEREAS, the CONTRACTOR represents that it is qualified, willing and able to provide the <br />professional services and deliver the requested materials to the COUNTY according to the <br />COUNTY's specifications and the terms of this Agreement. <br /> <br />NOW THEREFORE, the parties do hereby agree as follows: <br /> <br />L WORK. STATEMENT <br /> <br />Based upon the COUNTY's Request for Qualifications dated August 10, 2004, and the <br />CONTRACTOR's responding proposal submitted to the COUNTY on September 10,2004, and the <br />CONTRACTOR's pricing quotation of mid October 2004, it is the intention of both parties that this <br />Agreement covers a mapping project to be performed by the CONTRACTOR involving aerial <br />photography, ground control surveys, analytical control and color digital orthophoto base mapping <br />of the COUNTY, to be conducted at a scale of I" = 200' at a pixel resolution of 0.5', which will be <br />produced for the entire COUNTY plus the area that extends 2,000' beyond the COUNTY's <br />boundary in all directions. All project work will be accomplished in compliance with the Project <br />Specifications as outlined in the COUNTY's RFQ or in the specifications included as an addendum <br />to this contract. I <br /> <br />The total price to be paid for this project includes TIFF images, MRSID data compression of all <br />images to one COUNTY selected compression ratio, and a MRSID data compression of a complete <br />county composite image (MOSAIC) to one COUNTY selected compression ratio. <br /> <br />Work shall be completed by the CONTRACTORinthe following phases: <br /> <br />A.
