DRAFT <br /> <br />AGENDA ITEM E-13 <br /> <br />FIRST DtL4FT- JULY 15, 2003 -MP <br /> CONTRACT <br /> <br />THIS AGREEMENT is made and entered into effective this __day of July 2003, by and <br />between Cabarrus County, North Carolina, a political subdivision of the state of North <br />Carolina having its principal place of business at 65 Church Street, South, Concord, North <br />Carolina 28025 (hereinafter referred to as the "County") and Good Health Services, Inc., a <br />North Carolina corporation having its principal place of business at 7901 Strickland Road, Suite <br />112, Raleigh, North Carolina 27615 (hereinafter referred to as "Provider"). <br /> <br />WITNESSETH: <br /> <br />WHEREAS, the County has a need for contracting in-home aide services for certain residents <br />of the County while such Clients are residing in the County and who also qualify for such <br />services (hereafter, such County residents may be referred to as "Client" or "Clients"); and <br /> <br />WHEREAS, the Provider has employees duly certified and qualified under any applicable <br />federal, state or local law, rule or regulation to provide these services to the Clients; <br /> <br />NOW THEREFORE, in consideration of the premises and other good and valuable <br />consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as <br />follows: <br /> <br />1. Provider's Responsibilities. The Provider agrees to provide qualified in-home aides to <br />provide direct Client care on an as-needed basis. Provider and its agents and employees shall <br />provide the following: <br /> <br />A. Type of Services Provided. Provider shall provide In-Home Services to the Clients as <br />directed by the County. All In-Home Services to be provided hereunder are set forth in detail in <br />Exhibit A, attached hereto and incorporated as if more fully set forth herein, and such services <br />shall hereafter be collectively referred to as the "Services". All Services provided hereunder <br />shall be provided by only those Provider employees who are properly licensed, trained and <br />qualified to provide the Services. <br /> <br />B. Services Plan. The County shall be responsible for providing the Provider with the names <br />and addresses of those Clients approved for the Services and an explanation of the general needs <br />of each Client. Provider shall be responsible for coordinating Client Services with the County <br />and assisting the County in evaluating the progress of those Clients under its care. Provider <br />shall provide all Services in accordance with a specific written plan of care established by <br />(***the County? The Provider? the County and the Provider jointly?***MP) for each Client <br />receiving Provider services. Provider shall promptly notify the County verbally and in writing <br />if any Client's condition changes, but shall not alter the County's suggested plan of care without <br />prior written notification from the County. <br /> <br />C. Legal Compliance. Provider shall provide all Services in accordance with County <br />approved policies and procedures as well as all applicable federal, state and local laws <br /> <br /> <br />
