I. Provider Employee Benefits.. The Provider will maintain responsibility for FICA, state and <br />federal taxes, workers compensation, professional liability, and unemployment compensation <br />insurance for all of Provider's employees. <br /> <br />2. Provider Compensation. The County shall pay Provider, as sole and exclusive <br />compensation for all Services provided pursuant to this Agreement, as follows: <br /> <br />A. Date for Payment. On the 5th and 20th day of the month following the month in which the <br />Services are rendered to the Clients, Provider shall submit a statement to the County for the <br />Services rendered for Clients during the immediately preceding portion of the month not <br />previously billed. Such statement will be in a format approved by the County and shall include, <br />but not necessarily be limited to, the following information for each Client for which Services <br />were rendered for that month: Name and address of Client, date of each Provider visit, name of <br />each Provider employee rendering the Services during each visit, and general category of <br />Services rendered during each visit. Provider agrees that it shall have no rights to or interest in <br />any billings or collections made by the County regarding any services or treatments received by <br />any Client directly or indirectly related to the Services provided by Provider under this <br />Agreement.. The County agrees to pay the Provider the undisputed amount of any such invoice <br />submitted to it within fifteen (15) days of receipt of the invoice. (****Sherri-please clear <br />payment time frames with Pam-MP***) <br /> <br />B. Late Payment Penalty. In the event the County does not pay the Provider the amount of <br />any undisputed charges within days of receipt of the invoice from the Provider, <br />the County shall be assessed interest on any late payments at the rate of 1.5% per month, or <br />18% per annum. <br /> <br />C. Payment for Provider Employee County Training. The County will pay Provider for any <br />Provider employee the County requires to attend any of the County's orientation/staff <br />meetings/workshops/committee meetings/conferences and team meetings at the Provider's <br />contract billable hourly rate for such Provider employee, as set forth in Exhibit . <br /> <br />3. Term and Termination. The term of this Agreement shall be for ,2003 <br />through , 2004. (***Sherri-I need the dates you want here- MP***) Tiffs <br />Agreement may be renewed for additional periods upon the written consent of both parties. <br />Notwithstanding the above, either party may, in its sole discretion, with or without cause, <br />terminate the Agreement at any time upon thirty (30) days prior written notice to the other party. <br />***(Sherri-Is this acceptable to DSS?***)In addition, the County may terminate this <br />Agreement at any time upon the occurrence of any of the following Provider events of default: <br /> <br />(i). Provider fails to maintain the qualifications specified by this Agreement, or <br />(ii). Provider fails to maintain professional liability or any other type of insurance as required by <br />this Agreement, or <br />(iii). Upon the bankruptcy, insolvency or dissolution of the Provider, or <br />(iv). Provider breaches any other term or condition of this Agreement and fails to cure such <br />breach within ten (10) days of receipt of written notice o f the breach. <br /> <br />3 <br /> <br /> <br />
