shall be named as additional insured under all such policies and the Provider will give the <br />County copies of all certificates evidencing such coverage. <br /> <br />6. Access to Books and Records. Provider agrees as follows: Until the expiration of four (4) <br />years after the furnishing of any Service pursuant to this Agreement, Provider shall, upon <br />written request, make available to the County, or to the County's duly authorized representative, <br />this Agreement and such books, documents, and records as may be necessary to certify the <br />nature and extent of the cost or value of the Services to be performed by Provider hereunder, <br />including but not limited to the records and reports required to be maintained by the Provider. <br /> <br />7. Specific HIPAA Compliance. In addition to and without limitation of the foregoing, if and <br />to the extent, and for as long as, required by the provisions of 42 U.S.C. 1171 et seq. enacted by <br />the Health Portability and Accountability Act of 1996 (HIPAA) and the final regulations <br />promulgated thereafter, all as amended from time to time, each party will appropriately <br />safeguard, in accordance with H[PAA, all Protected Health Information (PHI) (as such term is <br />defined in H2AA) made available to it by, or obtained by it from the other party. This section <br />constitutes a contract between parties establishing the permitted and required uses and <br />disclosures of such information. <br /> <br />Without limitations of the provisions of this section each party hereto agrees that it shall: <br /> <br />1. Not use or further disclose any PHI other than as permitted or required by this Agreement or <br />by law. <br /> <br />2. Not use or further disclose any PHI in a manner that would violate the requirements of the <br />applicable law (including but not limited to HIPAA) if done by the other party. <br /> <br />3. Use appropriate safeguards to prevent the use or disclosure of such PHI not provided for by <br />this Agreement. <br /> <br />4. Immediately report to the other party any use of disclosure of PHI not provided for by this <br />Agreement or of which the party becomes aware. <br /> <br />5. Ensure that any subcontractor or agency to whom the party provides such PHI agrees in <br />writing to the same restrictions and conditions apply to it with respect to such PHI, provided, <br />however, that neither party to this Agreement shall provide any PHI to any subcontractor or <br />agent without the prior written consent of the other party, unless pursuant to a court order. <br /> <br />6. Make such PHI available for inspection and copying by the subjects thereof in accordance <br />with applicable law (including but not limited to HIPAA). <br /> <br />7. Make the party's internal practices, books, records relating to the use and disclosure of such <br />PHI available to the Secretary of the United States Department of Health and Human Services <br />for purposes of determining the party's compliance with applicable law (inclu~ding but not <br />limited to HIPPA). However, the parties agree that in the event it receives such a request, unless <br />prohibited by court order, such party receiving the request shall promptly notify the other party <br /> <br /> <br />
