of any such request, and if p?missible, shall provide the other party with a copy thereof and of <br />all material so disclosed. <br /> <br />8. At termination of this Agreement, return or destroy all PHI that the party maintains in any <br />form and retain no copies of such information or, if such return or destruction is not feasible, <br />extend the protections of the contract to the PHI and limited further uses and disclosures to those <br />purposes that make the remm or destruction of the PHI feasible. <br /> <br />9. Make available PHI upon request by the other party for inspection and copying in a <br />designated record set, for as l~ng as the information is maintained in the designated record set. <br /> <br />10. Provide upon request by the other party an accounting of disclosure of PHI in the six years <br />prior to the date on which the accounting is required. <br /> <br />11. Incorporate any amendments or corrections to such PHI when notified by the other party <br />thereof. <br /> <br />Without limiting any right o]r remedy of either party provided elsewhere in this Agreement or <br />available under applicable law (including but not limited to HIPAA), either party may terminate <br />this Agreement without penalty or recourse if the party determines that the other party has <br />violated any material term of this section. In order to assure that this Agreement is consistent <br />with HIPAA, both parties agree that this section may be amended from time to time upon written <br />notice from the other party al to the provisions required to make this Agreement consistent with <br />HIPAA. <br /> <br />8. Miscellaneous. <br /> <br />A. Notices. The waiver by either party of a breach of any provision of this Agreement shall not <br />operate as a waiver of any subsequent breach thereof. <br /> <br /> <br />
