AGREEMENT FOR BUSINESS LINE FACILITIES This Agreement, made the 13th day of September, 2003, between The Concord Telephone Company ("Company") and Cabarrus County Government ("Customer"). WHEREAS, the Customer desires to engage the Company to install, furnish and maintain, for use of Customer's agents and representatives, a system of private~ branch exchange facilities in addition to business line facilities that will be located between the Concord Telephone Company premises and the customer premises at 65 Church St.,S., Concord, North Carolina and other County locations as outlined on Appendix B. WHEREAS, the Company is willing to install, furnish and maintain such facilities to the Customer, subject to the terms and conditions of this Agreement. NOW, THEREFORE, in consideration of the mutual covenants, terms and conditions herein contained, the parties do hereby mutually covenant and agree as follows: The Company shall install, furnish and maintain for use by the Customer the private branch exchange and business facilities more particularly described on Exhibit A to this Agreement (the "Facilities"). Upon the execution of this Agreen~ent, Customer shall pay to the Company an installation charge in the amount of $0.00. Normal tariffed non-recurring charges shall apply for changes and additions made subsequent to this initial offering. The Facilities shall be furnished to the Customer in a configuration to be determined by the Company, which best utilizes existing facilities of the Company and the Customer. In consideration for furnishing and maintaining the Facilities, the Customer shall pay to the Company a monthly fee in accordance with Exhibit B (the "Monthly Fee") for the term of this Agreement. Such payment shall be made to the Company no later than 25 days after billing date during the term of this Agreement. Payment for any partial month shall be pro rated. o The term of this Agreement shall begin on the date of completion of installation of the Facilities. The term of this Agreement shall end on the last day of the 36th.(final month of contract, e.g. 60th) month following the first day of the month after completion of the installation of the facilities, unless this Agreement is otherwise terminated or extended (the "Initial Term"). After the Initial Term, this Agreement shall automatically be extended on a month-by-month basis of standard tariffed rates, unless it is terminated upon a 30-day notice from either party to the other party.
