I I I I I I I I I I I I I I I I I I I ' NCSUSUBCONTRACT ii 2001.l-1748-27 Vertebrate Animals: Pursuant to the Animal Welfare Act and the Public Health Service Policy on Humane Care and Use of Laboratory Animals, suBCONTRACTOR agrees that any animal resem'ch protocol conducted under this Agreement shall be reviewed and approved by SUBCONTRACTOR's Institutional Animal Care and Use Committee (IACUC) and certifies that this IACUC is in full compliance with all federal' regulations and has an approved Assurance on file with DHHS. XV. TERMINATION: A. If the SUBCONTRACTOR shall fail to fulfill in.a proper rammer its obligations under.this Agreement or violates any 0fthe provisions of this Agreement, NCSU shall have the right to terminate in Whole or in part, this Subcontract by sending written notice of termination to the SUBCONTRACTOR thirty (30) days prior to the effective date of sUch termination. B. It is expressly understood that in the event that NCSU's contract from the NCDHHS is terminated or the funding thereunder ceases, NCSU, at its option, may terminate, in whole or in part, this Subcontract by sending written Notice of Termination to the SUBCONTRACTOR ten (10) days prior to the effective date or,such termination. C. This Agreement may be terminated by either party, with or witho,ut cause; by giving tlzh'ty (30) days written notice to the other party.. Do Upon notification that this Subcontract has been terminated, whether pUrsuant to paragraph A, B, or C of this Article, the SUBCONTRACTOR shall irmnediately stop all work under this Subcontract on the date and to the extent specified in the Notice of Termination. The SUBCONTRACTOR shall not place any orders or subcontracts for materials, services, or facilities, except as may be necessary for the completion of such portion of the work as is not terminated upon termination of.this Subcontract, whether pursuant fo paragraph A, B, or C of this Article. NCSU agrees to compensate the SUBCONTRACTOR for all work perfo~Tned prior to said termination, and not previously paid for under the provisions of Article V. XVI. NOTICES: Unless otherwise provided in this Agreement, all notices herein provided to be given, or which may be given by either party to the other, shall be deemed to have been fully given when made in writing addressed as follows, and delivered by U.
