CONTRACT FOR TRANSPORTATION SERVICES For The Cabarrus County Coordinated Transportation System (d.b.a. CCTS) This Contract made and entered into this __ day of May, 2002, by and between the Cabarrus County Government and its coordinated transportation system, hereinafter referred to as CCTS, and Coach USA Transit Services, hereinafter referred to as CONTRACTOR, whose official representatives and contacts are as follows: For Cabarrus County and the CCTS System James Sasser, Sr. Transportation Planner P.O. Jones: District Vice President 8220 Bartram Ave. Philadelphia,Pa. 19153 Telephone: (215) 365-3477 Fax: (215)365-4467 Whereas, CCTS issued its Request for Proposals (the "RFP") on or aboUt May 25, 2001, seeking an operator for its transportation system, and Whereas, Contractor responded by presenting CCTS with its Proposal dated June 8, 2001, (the "Proposal"); and Whereas, CCTS desires to purchase transportation services at a coordinated and economical rate structure, under the terms and conditions set forth herein; and Whereas, Contractor desires to provide such transportation and to enter into this Contract under the terms and conditions set forth herein; and desires to exercise the first of four option years as prescribed herein; and Wherea~, CCTS and Contractor mutually desire to enter into a flexible agreement under Which they can work together to maximize service quality and system efficiency; and to explore innovative funding and contracting mechanisms; with the mutual goals of establishing new transportation services and expanding mobility choices within the community; NOW, THEREFORE, in consideration of the mutual agreement, the following articles are set forth:. ARTICLE 1. CONTRACTOR'S DUTIES AND OBLIGATIONS: The Contractor shall manage and operate the CCTS system throughout the term of this contract under the overall direction, of the Mobility Management Office of the County Planning Services Department and the CCTS Transportation Advisory Board. Managing and operating the system is: understood to include employing staff and drivers; providing office and parking facilities; maintaining, scheduling, and dispatching vehicles. It also includes providing all types of insurance required; maintaining financial and operating records; coordinating, scheduling and providing high- quality and efficient transportation services; and all other requirements of the RFP's Scope Of Work. It is mutually understood and agreed that should the County desire to partner or fred it necessary to provide any portion of the contracted elements of the CCTS operation by the contractor that an appropriate adjustment to revenue for that segment of service will be implemented.
