b. Board members shall have an af~-mative duty and obligation to <br />disclose any conflict or potential coofllct of i~terest involving any issue <br />presented at the Board meeting for a vote; members are required to <br />remove themselves from said issues. <br /> <br />c, Board members shah not flaunt their Board membership and <br />attempt to use their position to intimidate employees or to ~in personal <br />favors. <br /> <br />d. Board members shall, not abuse their Board membership by using <br />agency staff, serviees, equipment, material or property for their personal <br />gain. ¥1olation of one or any of these rules may be grounds for sanction, <br />including removal from the Board of Directors. <br /> <br />Section 3. <br /> <br />Nepotism <br /> <br />a. No person sh~!l serve on the Board of Directors or any other <br />committee of the Corporation, if that committee has authority to order <br />personnel action, if he/she or a member of his/her immediate family is <br />employed with the Corporation. <br /> <br />b. A member of the immediate family shah include any of the follOwing <br />persons, as described in the Corporation's personnel policies and <br />procedures: Husband. wife, father, mother, <br /> <br />Section 4. <br /> <br />Waiting Period for the Board <br /> <br />There shah be a waiting period of six mOnths before a fo,~aer 'Board <br />member shall be eligible for employment with the Agency. <br /> <br />There shall be a waiting period of six months before an employee of the <br />agency shall be eligible to serve on the Board of Directors. <br /> <br />The time limitation may be waived, subject to the approval of the majority <br />of the Board present. <br /> <br /> <br />
