Removal <br /> <br />Any Board member, regardless of the sector, may be removed after three <br />consecutive zmexcused absences from regularly scheduled Board <br />meetings, shall be eligible for removal from the Board of Directors. The <br />Board by a majority vote present may determine that 'there are exten,,ating <br />circumstances, and thereby waive tiffs clause, by majority vote of the <br />members present. <br /> <br />Any Board member, regardless of the sector may be removed by a majority <br />vote of the members present at a regularly scheduled meeting for willful <br />misconduct, unethicml behavior, violation of these By-Laws or other <br />corporate policies and pr°eedures for not acting in the best interest of the <br /> <br />VII. Board Member RegulatiOns <br /> <br />Section 1. <br /> <br />Compensation <br /> <br />All Board members serve in a voluntary capacity, and there shall, be no <br />compensation to any Board member for service on the Board of Directors. <br />The only exception may be made for the Board members representing the <br />low income sector. This is' done to insure maximum participation and to <br />avoid any undue hardship. Board members may be reimbursed for' <br />reasonable and justifiable expenses related to Board business, subject to <br />documentation being submitted to Chairman fOr approval. Authorized <br />travel expenses for agency conferences and out of town travel shall be <br />governed by the agency's fiseul policies and procedures. <br /> <br />Section 2. <br /> <br />Conflict of Interest <br /> <br />a.
