2 <br /> <br />B. Include any person or entity designated by Contractor as a joint payee on the <br /> Contractor's payment check(s). <br /> <br />In no event shall s~ch approval and action obligate the State to anyone other than the Contractor <br />and the Contractor shall remain responsible for fulfillment of all contract obligations. <br /> <br />4. Effective Period: <br /> <br />This Contract is effective August 1, 2002 and terminates on June 30, 2003 with the option to <br />extend, if mutually agreed upon, throUgh a written amendment as provided for in Part 34. The <br />services of the Contractor are to commence on the fn:st day of the effective period and shall be <br />undertaken and completed in such sequence as to ensure the expeditious completion in light of <br />the purposes of this contract, but in any event, all of the services required hereunder shall be <br />completed by the last day of the specified period or eXtension thereof. <br /> <br />5. Subcontracting: <br /> <br />The Contractor shall not subcontract any of the work contemplated under this contract without. <br />approval from the Office. Any approved subcontract shall be subject to all conditions of this <br />contract. Only the subcontract activity specified in the Contractor's approved work plan and <br />budget (Attachment I) axe to be considered approved upon award of the contract. Any other <br />subcontract shall be submitted to the Office Administrator for review and approval prior to the <br />execution of a subcontract agreement. The Contractor shall be responsible for the performance of <br />any subcontractor. Subrecipient relationships are not allowed under this contract. <br /> <br />6. Independent Contractor:. <br /> <br />The Contractor is and shall be deemed to be an independent contractor in the performance of this <br />Contract and as such Shall be wholly responsible for the work to be performed and for the <br />supervision of its employees. The Contractor represents that it has, or shall secure at its own <br />expense, all personnel required in performing, the services under this agreement.. Such employees <br />shall not be employees of, or have any individual contractual relationship with, the Office. <br /> <br />7. Key Personnel: <br /> <br />The Contractor shall notify the Office of a change in Board Officers or key personnel assigned to <br />the performance of this contract. The individuals designated as key personnel for purposes of this <br />contract are those specified as such in the Contractor's application and such others as the parties <br />may agree. <br /> <br />8. Indemnity: <br /> <br />The Contractor agrees tO indemnify and hold harmless the Office, the State .of North Carolina, <br />and any of their officers, agents and employees, from any claims of third parties arising out of <br />any act or omission of the Contractor in connection with the performance of this Contract. <br /> <br />9. Beneficiary: <br /> <br />Except as herein specifically provided otherwise, this Contract shall inure to the benefit of and be <br />binding upon the parties hereto and their respective successors. It is expressly understood and <br />agreed that the enforcement of the terms and conditions of this Contract, and all rights of action <br /> <br /> <br />
