In addition to the pledges, CSA and the City will be responsible for <br />providing all standard goals, bleachers, nets, comer flags, paint and any other <br />soccer equipment or device of any kind or nature needed for their respective <br />Priority Fields (hereafter for convenience purposes, all such equipment or devices <br />on the Priority Fields shall be collectively referred to as "Equipment"). The City <br />and CSA will also be responsible for the proper installation, inspection, proper <br />function, maintenance, repair, replacement and safety of any Equipment. The <br />Equipment will remain property of the City and CSA respectfully. <br /> <br />City and CSA Use Fees. The CSA and the City will be allowed to use all <br />Complex fields based on availability and as approved by the Committee and shall <br />not be assessed any fee for such use. <br /> <br />Preparation of Schedules. CSA and the City will present the Committee with a <br />Master Schedule for their respedtive programs and will be primarily responsible <br />for coordinating and scheduling all soccer programs with the Committee. CSA <br />will present the Committee with a semi-annual Master Schedule for all CSA users <br />within seven days following the final publication of all CSA league schedules for <br />the Spring and Fall seasons. The City will also present the Committee with a <br />Master Schedule for their soccer programs for all City and County participants <br />and will be primarily responsible for coordinating and scheduling all City and <br />County sponsored youth recreational soccer programs. The Committee will then <br />publish a Complex Master Schedule for all Complex users, which will specify <br />practice and game dates for the upcoming six-month period for all Complex <br />fields, including the ten fields assigned to CSA and the City. The Committee <br />must unanimously approve the Complex Master Schedule, including without <br />limitation, all other organizations desiring to use the ten Priority Use Fields, such <br />approval not to be unreasonably withheld. The City and CSA may allow other <br />organizations to use their five Priority Fields Es scheduling allows. However, in <br />such event, the City and CSA shall bear sole and exclusive responsibility for such <br />organization's use of the Complex in general and each entity does hereby <br />indemnify and hold harmless any other party hereto against any liability, <br />obligation, cost or expense of any kind or nature arising directly or indirectly from <br />such organization's use of the Complex; including without limitation, bodily <br />injury and death or property damage. <br /> <br />COMPLEX OPERATING COMMITTEE <br /> <br />The County Parks and Recreation Department (the "County Department"), the <br />City Parks and Recreation Department (the "City Department") and CSA shall <br />each appoint one member of each of these organizations or entities to the <br />Committee.
