City-CCBE agreement <br />Page 2 <br /> <br />Neither party has tested the real property/described above for any purpose, <br />including but not limited to any environmental hazards, and makes no <br />warranties of fitness for the intended purpose. <br /> <br />This agreement constitutes the entire agreement and understanding of the parties, <br />and supersedes all prior and contemporaneous agreements, understandings, <br />negotiations, and purposes, whether written or unwritten related to the subject <br />matter of this Agreement. This Agreement may not be amended or modified <br />except in writing signed by each party hereto. <br /> <br />o <br /> <br />Each of the respective parties represents and warrants that it has the full right, <br />power and authority to execute, deliver, and perform ali of it~ obligations under <br />this Agreement and all other documents required or per/flitted to be executed, <br />delivered and performed hereunder and has taken all necessary action to enter <br />into, and duly executed and delivered each such document. <br /> <br />A resolution of the Cabarms County Commission electing not to obtain the real <br />property described above as required by N.C.G.S. 115C-518 is attached hereto <br />and incorporated herein as Exhibit B. <br /> <br />o <br /> <br />This Agreement may be executed in counterparts, which, when taken together, <br />shall constitute one Agreement. <br /> <br />IN WITNESS WHEREOF, the parties have caused this Agreement to be executed and <br />sealed by themselves or their duly authorized officers or agents as follows: <br /> <br />Cabarrus County Board of Education City of Ct)ncord <br /> <br />By By <br /> <br />Cindy S.
