PROFESSIONAL SERVICES AGREEMENT <br /> <br />This service agreement between Logan Systems, Inc. ("Logan Systems") and Cabarrus <br />County, North Carolina (the "County") will become effective this __ day of <br /> ,2001. The respective parties may execute this agreement at different times. <br />Therefore, the effective date shall be the date that the second party executes the <br />agreement. <br /> <br />Pursuant to the terms outlined below, Logan Systems agrees to provide professional <br />services to the Cabarrus County Register of Deeds ("ROD") for the management of the <br />permanent land records maintained by the ROD. These services can be broadly separated <br />into two categories: (1) Indexing; and (2) Recording (Imaging). The contract is divided <br />into three sections. The first outlines all general terms common to the services provided <br />to the ROD. The two remaining sections contain specific terms for the services provided <br />and the respective costs of those services. <br /> <br />I. Common Terms <br /> <br /> 1. Teton &the Agreement: This contract shall run from the effective date listed <br /> above through June 30, 2004. The contract will be subject to negotiated <br /> renewals after the expiration of the primary term. <br />2. Services Provided: LSI provides a turnkey service that includes all necessary <br /> hardware, software, training and support. The indexing services currently <br /> being provided to the office will continue to be provided. In addition, LSI is <br /> upgrading the archival print recording system to a scanning and image <br /> retrieval system. This system will also allow for remote access to indexing <br /> and imaging data over the intemet and/or on a county wide intranet. The <br /> services to be provided are explained in greater detail in the letter dated <br /> February 6, 2001 from Logan Systems to Linda McAbee. That letter is <br /> attached as "Exhibit A" and incorporated herein by reference. <br />3. Training: All necessary training for both the ROD's staff and the general <br /> public will be provided by Logan Systems at no additional charge to the <br /> County. <br />4. Support: Unlimited support is provided via a toll free number from 8:00AM <br /> through 5:00PM. If the problem or question cannot be adequately answered <br /> over the telephone, then a support representative will visit the ROD's office. <br /> If equipment needs to be repaired or replaced, the target for such replacement <br /> is 24 hours. <br />5. Remote Access Support After Normal Hours: Logan Systems will provide <br /> after hours contacts to facilitate phone support of the web site. This support <br /> will be provided as part of the fees discussed below. If the problem cannot be <br /> solved over the phone, LSI can provide on-site support after hours for an <br /> additional fee. <br />6. Consumable Supplies: The cost of consumable supplies such as paper and <br /> toner are not included in the charges listed below. These consumables may be <br /> purchased from Logan Systems. <br /> <br /> <br />
